(1) The amendments of this Act made by Schedule 1 to the
Financial

Sector Reform (Hayne Royal Commission Response--Protecting

Consumers (2019 Measures)) Act 2019
apply in relation to a

contract entered into on or after the commencement of that
27
Schedule.

(2) The amendments do not apply to a contract entered into before the
29
commencement of that Schedule. However:
30
(a) if the contract is renewed on or after that commencement--
31
the amendments apply to the contract as renewed, on and

renewal day

relation to the contract--the amendments apply to the term as
6
varied, on and from the day (the
variation day
) on which the
7
variation takes effect, in relation to conduct that occurs on
8
and after the variation day.

(3) If paragraph (2)(b) of this section applies to a term of a contract,
10
subsection 12BF(2) and section 12BK of this Act apply to the
11
contract.

(4) Despite paragraphs (2)(a) and (b) and subsection (3) of this section,
13
the amendments do not apply to a contract, or a term of a contract,
14
to the extent that the operation of the amendments would result in
15
an acquisition of property (within the meaning of
16
paragraph 51(xxxi) of the Constitution) from a person otherwise
17
than on just terms (within the meaning of that paragraph of the
18
Constitution).

15B Meaning of
mortgage broker
1
(1) A licensee is a
mortgage broker
if:
2
(a) the licensee carries on a business of providing credit
3
assistance in relation to credit contracts secured by mortgages
4
over residential property; and
5
(b) the licensee does not perform the obligations, or exercise the
6
rights, of a credit provider in relation to the majority of those
7
credit contracts; and
8
(c) in carrying on the business, the licensee provides credit
9
assistance in relation to credit contracts offered by more than
10
one credit provider.

(2) A credit representative of a licensee is a
mortgage broker
if:
12
(a) the credit representative carries on a business of providing
13
credit assistance in relation to credit contracts secured by
14
mortgages over residential property; and
15
(b) neither the credit representative nor the licensee performs the
16
obligations, or exercises the rights, of a credit provider in
17
relation to the majority of those credit contracts; and

(1) A licensee is a
mortgage intermediary
if:

in relation to credit contracts secured by mortgages over

Where there is a conflict of interest, mortgage brokers must give

priority to consumers in providing credit assistance in relation to
22
credit contracts.

Mortgage brokers and mortgage intermediaries must not accept
24
conflicted remuneration.

Employers, credit providers and mortgage intermediaries must not

give conflicted remuneration to mortgage brokers or mortgage

A reference in this Part to doing an act or thing includes a

reference to causing or authorising the act or thing to be done.

158KB Circumstances in which a secondary representative is taken

to be acting within actual or apparent authority

(1) This section applies if a person (the
secondary representative
) is
9
authorised as a credit representative of a licensee by a credit
10
representative that is a body corporate (the
primary
11
representative
).

(2) For the purposes of this Part, the secondary representative is taken
13
to be acting within the scope of the secondary representative's
14
actual or apparent authority from the licensee if the secondary
15
representative is acting within the actual or apparent scope of the
16
authority given by the primary representative to engage in
17
specified credit activities on behalf of the licensee.

158KC Obligations under this Part in addition to other obligations

The obligations imposed on a person under this Part are in addition
20
to any other obligations to which the person is subject under this
21
Act or any other law.

Subdivision A--Licensees that provide credit assistance in

relation to credit contracts

158L Application of this Subdivision
4
(1) This Subdivision applies in relation to credit assistance provided
5
by a licensee to a consumer in relation to a credit contract if the
6
licensee is a mortgage broker.
7
(2) However, this Subdivision does not apply in relation to credit
8
assistance provided to a consumer in relation to a credit contract by
9
a credit representative acting within the scope of the credit
10
representative's actual or apparent authority from the licensee.

Note 1:
A credit representative in these circumstances is covered by
12
Subdivision B of this Division.

Note 2:
The conduct of any other representative, acting within the scope of
14
actual or apparent authority from the licensee, is taken to have been
15
engaged in also by the licensee: see sections 324 and 325.

158LA Licensee must act in the best interests of the consumer
17
The licensee must act in the best interests of the consumer in
18
relation to the credit assistance.

Civil penalty:
5,000 penalty units.

158LB Conflict between consumer's interests and those of the

conflict between the interests of the consumer and the interests of:

This Subdivision applies in relation to credit assistance provided to

Conflicted remuneration

Conflicted remuneration
means:
8
(a) any benefit, whether monetary or non-monetary, that:
9
(i) is given to a licensee, or a representative of a licensee,
10
who provides credit assistance to consumers; and
11
(ii) because of the nature of the benefit or the circumstances
12
in which it is given, could reasonably be expected to
13
influence the credit assistance provided to consumers;
14
or
15
(b) any benefit, whether monetary or non-monetary, that:
16
(i) is given to a licensee, or a representative of a licensee,
17
who acts as an intermediary; and
18
(ii) because of the nature of the benefit or the circumstances
19
in which it is given, could reasonably be expected to
20
influence whether the licensee or representative acts as
21
an intermediary, or how the licensee or representative
22
acts as an intermediary.

158NA Regulations may further define
conflicted remuneration

The regulations may prescribe:
25
(a) circumstances, in addition to those set out in section 158N, in
26
which a benefit given to a licensee or a representative of a
27
licensee is
conflicted remuneration
; and

(b) a mortgage intermediary.

(2) An employer of a representative of a licensee must not give the

representative conflicted remuneration in circumstances prescribed
2
by the regulations if the licensee or the representative is:

(a) a mortgage broker; or
4
(b) a mortgage intermediary.

A person must not, either alone or together with one or more other

persons, enter into, begin to carry out or carry out a scheme if:

(a) it would be concluded that the person, or any of the persons,
6
who entered into, began to carry out or carried out the
7
scheme or any part of the scheme did so for the sole purpose
8
or for a purpose (that is not incidental) of avoiding the
9
application of any provision of this Part in relation to any
10
person or persons (whether or not a person or persons who
11
entered into, began to carry out or carried out the scheme or
12
any part of the scheme); and
13
(b) the scheme or the part of the scheme has achieved, or apart
14
from this section, would achieve, that purpose.

3 Application of ban on conflicted remuneration

(1)
Subject to subitem (2), Division 4 of Part 3-5A of the National Credit

Act, as inserted by item 5 of Schedule 3 to the amending Act, applies to
12
a benefit given on or after 1 July 2020 to a licensee, or a representative
13
of a licensee, if the benefit is given under an arrangement entered into
14
on or after 1 July 2020.

(2)
The regulations may prescribe circumstances in which that Division
16
applies, or does not apply, to a benefit given to a licensee or a
17
representative of a licensee.
