A Bill for an Act to amend the Infrastructure 

Australia Act 2008, and for other purposes 

The Parliament of Australia enacts: 

1  Short title 

 

  This Act may be cited as the Infrastructure Australia Amendment 

Act 2013

2  Commencement 

 

(1)  Each provision of this Act specified in column 1 of the table 

commences, or is taken to have commenced, in accordance with 

column 2 of the table. Any other statement in column 2 has effect

according to its terms.

4  Establishment 

 

(1)  Infrastructure Australia is established by this section. 

 

(2)  Infrastructure Australia: 

 

(a)  is a body corporate; and 

 

(b)  must have a seal; and 

 

(c)  may acquire, hold and dispose of real and personal property; 

and 

 

(d)  may sue and be sued. 

Note: 

The Commonwealth Authorities and Companies Act 1997 applies to 

Infrastructure Australia. That Act deals with matters relating to

Commonwealth authorities, including reporting and accountability, 

11 

banking and investment, and conduct of executive officers. 

12 

 

(3)  Infrastructure Australia's seal is to be kept in such custody as the 

13 

Board directs and must not be used except as authorised by the 

14 

Board. 

15 

 

(4)  All courts, judges and persons acting judicially must: 

16 

 

(a)  take judicial notice of the imprint of the seal of Infrastructure 

17 

Australia appearing on a document; and 

18 

 

(b)  presume that the document was duly sealed. 

19 

5  Functions--general 

20 

 

  Infrastructure Australia has the following functions: 

21 

 

(a)  to conduct audits to determine the adequacy, capacity and 

22 

condition of nationally significant infrastructure, taking into 

23 

account forecast growth; 

24 

 

(b)  to develop lists (to be known as Infrastructure Priority Lists), 

25 

based on audits conducted under paragraph (a) and any 

26 

additional research by Infrastructure Australia, that prioritise 

27 

Australia's infrastructure needs; 

28 

 

(c)  to evaluate infrastructure proposals in accordance with 

29 

section 5A; 

30 

 

(d)  to develop plans (to be known as Infrastructure Plans) in 

31 

accordance with section 5B; 

32 

 

(e)  to provide advice on infrastructure matters in accordance 

33 

with section 5C;

(f)  to identify any impediments to investment in nationally 

significant infrastructure and identify strategies to remove 

any impediments identified; 

 

(g)  to promote investment in infrastructure; 

 

(h)  to undertake or commission research relating to Infrastructure 

Australia's other functions; 

 

(i)  any other functions conferred on Infrastructure Australia by 

or under this Act or any other law. 

5A  Functions--evaluating infrastructure proposals 

 

(1)  For the purposes of paragraph 5(c), Infrastructure Australia has the

function of evaluating proposals for investment in, or 

11 

enhancements to: 

12 

 

(a)  nationally significant infrastructure; and 

13 

 

(b)  other infrastructure determined by the Minister. 

14 

 

(2)  However, Infrastructure Australia must not evaluate a proposal 

15 

under subsection (1) if the proposal is in a class of proposals 

16 

determined by the Minister. 

17 

 

(3)  A determination made by the Minister under paragraph (1)(b) or 

18 

subsection (2) is a legislative instrument. 

19 

5B  Functions--developing Infrastructure Plans 

20 

 

(1)  For the purposes of paragraph 5(d), Infrastructure Australia has the 

21 

function of developing plans, to be given to the Minister, that: 

22 

 

(a)  specify priorities for nationally significant infrastructure for 

23 

Commonwealth, State, Territory and local governments for 

24 

the period covered by the plan (see subsection (2)); and 

25 

 

(b)  specify the following for proposals relating to those priorities 

26 

during that period: 

27 

 

(i)  productivity gains that may be anticipated from each 

28 

proposal; 

29 

 

(ii)  any complementary infrastructure required to maximise 

30 

productivity gains from the proposals; 

31 

 

(iii)  timeframes for delivering the proposals; and 

32 

 

(c)  take into account:

(i)  the audits, lists and evaluations mentioned in paragraphs 

5(a), (b) and (c); and 

 

(ii)  consultations with Commonwealth, State, Territory and 

local governments; and 

 

(iii)  any other matters Infrastructure Australia considers 

relevant. 

 

(2)  A plan must cover a period of 15 years from the time the plan is 

prepared, or such other period of time as the Minister determines, 

by legislative instrument, for the purposes of this subsection. 

 

(3)  A plan must be prepared under this section every 5 years, or at 

10 

such other intervals as the Minister determines, by legislative 

11 

instrument, for the purposes of this subsection.

5C  Functions--providing advice on infrastructure matters 

13 

 

  For the purposes of paragraph 5(e), Infrastructure Australia has the 

14 

function of providing advice to the Minister, Commonwealth, 

15 

State, Territory and local governments, investors in infrastructure 

16 

and owners of infrastructure on matters relating to infrastructure, 

17 

including in relation to the following: 

18 

 

(a)  Australia's current and future needs and priorities relating to 

19 

nationally significant infrastructure; 

20 

 

(b)  policy, pricing and regulatory issues that may impact on the 

21 

utilisation of infrastructure; 

22 

 

(c)  impediments to the efficient utilisation of national 

23 

infrastructure networks; 

24 

 

(d)  options and reforms, including regulatory reforms, to make 

25 

the utilisation of national infrastructure networks more 

26 

efficient; 

27 

 

(e)  the needs of users of infrastructure; 

28 

 

(f)  mechanisms for financing investment in infrastructure. 

29 

5D  Functions only performed when directed by the Minister 

30 

 

(1)  Infrastructure Australia has the following functions which it must 

31 

only perform when directed by the Minister, in writing, to do so: 

32 

 

(a)  to review and provide advice on proposals to facilitate the 

33 

harmonisation of policies, and laws, relating to development 

34 

of, and investment in, infrastructure;

(b)  to publish the following material: 

 

(i)  evaluations conducted under section 5A; 

 

(ii)  evidence relied on in preparing, and reasons for any 

opinion or conclusion contained in, the audits, lists, 

evaluations, plans and advice mentioned in paragraphs 

5(a) to (e); 

 

(c)  any other functions that the Minister directs Infrastructure 

Australia to perform. 

 

(2)  For the purposes of paragraph (1)(b): 

 

(a)  the material is to be published on Infrastructure Australia's

website, or in such other ways as are specified in the 

11 

direction; and 

12 

 

(b)  Infrastructure Australia must omit any information that 

13 

Infrastructure Australia is satisfied is 

14 

commercial-in-confidence from the material it publishes 

15 

under that paragraph. 

16 

 

(3)  A direction made under subsection (1) is not a legislative 

17 

instrument.

9  Subsections 6(3) and (4) 

19 

Repeal the subsections, substitute: 

20 

 

(3)  Without limiting subsection (1), a direction may do any or all of 

21 

the following: 

22 

 

(a)  specify a time by which Infrastructure Australia must 

23 

perform a particular function; 

24 

 

(b)  specify a time by which Infrastructure Australia must comply 

25 

with the direction; 

26 

 

(c)  require Infrastructure Australia to perform a function in 

27 

accordance with any requirements that are specified in the 

28 

direction, including requirements relating to: 

29 

 

(i)  the scope of any audit, list, evaluation, plan or advice to 

30 

be provided by Infrastructure Australia; and 

31 

 

(ii)  any matters that Infrastructure Australia must or must 

32 

not consider in performing the function; and 

33 

 

(iii)  the manner in which Infrastructure Australia is to 

34 

perform the function.

(4)  However, the Minister must not give directions about the content 

of any audit, list, evaluation, plan or advice to be provided by 

Infrastructure Australia. 

10  After section 6 

Insert: 

6A  Powers 

 

(1)  Infrastructure Australia has power to do all things necessary or 

convenient to be done for or in connection with the performance of 

its functions. 

 

(2)  Infrastructure Australia's powers include, but are not limited to, the

following powers: 

11 

 

(a)  the power to enter into contracts and agreements; 

12 

 

(b)  the power to occupy, use and control any land or building 

13 

owned or held under lease by the Commonwealth and made 

14 

available for the purposes of Infrastructure Australia; 

15 

 

(c)  the power to acquire, hold and dispose of real or personal 

16 

property; 

17 

 

(d)  the power to negotiate and cooperate with other 

18 

Commonwealth bodies and with State, Territory and local 

19 

government bodies; 

20 

 

(e)  the power to do anything incidental to any of its powers. 

21 

6B  Consultation 

22 

 

  Infrastructure Australia must, in performing its functions and 

23 

exercising its powers, consult with such of the following as it 

24 

considers appropriate: 

25 

 

(a)  government, commercial, industrial, consumer and other 

26 

relevant bodies and organisations; 

27 

 

(b)  investors in infrastructure and owners of infrastructure. 

28 

6C  Infrastructure Australia does not have privileges and immunities 

29 

of the Crown 

30 

 

  Infrastructure Australia does not have the privileges and 

31 

immunities of the Crown in right of the Commonwealth.

6E  Functions 

 

(1)  The functions of the Board are: 

 

(a)  to decide the objectives, strategies and policies to be 

followed by Infrastructure Australia; and

(b)  to ensure the proper, efficient and effective performance of 

11 

the Infrastructure Australia's functions; and 

12 

 

(c)  any other functions conferred on the Board by this Act. 

13 

 

(2)  The Board has the power to do all things necessary or convenient 

14 

to be done for or in connection with the performance of its 

15 

functions. 

16 

 

(3)  Anything done in the name of, or on behalf of, Infrastructure 

17 

Australia by the Board, or with the authority of the Board, is taken 

18 

to have been done by Infrastructure Australia. 

19 

 

(4)  If a function or power of Infrastructure Australia is dependent on 

20 

the opinion, belief or state of mind of Infrastructure Australia in 

21 

relation to a matter, the function or power may be exercised upon 

22 

the opinion, belief or state of mind of a person or body acting as 

23 

mentioned in subsection (3) in relation to that matter.

  The CEO must give written notice to the Board of all interests, 

pecuniary or otherwise, that the CEO has or acquires and that 

conflict or could conflict with the proper performance of the 

CEO's functions and responsibilities.

  The CEO must not engage in paid employment outside the duties 

of his or her office without the Chair's approval.

37  Resignation

(1)  The CEO may resign his or her appointment by giving the Chair a

written resignation.

(2)  The resignation takes effect on the day it is received by the Chair

or, if a later day is specified in the resignation, on that later day.

38  Termination of appointment

  The Board may terminate the appointment of the CEO at any time,

by instrument in writing.

39  Staff of Infrastructure Australia 

 

(1)  Infrastructure Australia may do either or both of the following: 

 

(a)  engage persons under the Public Service Act 1999

 

(b)  employ under written agreements such persons as 

Infrastructure Australia thinks necessary for the performance 

or exercise of any of its functions or powers. 

 

(2)  For the purposes of the Public Service Act 1999

 

(a)  the CEO and the APS employees referred to in 

paragraph (1)(a) together constitute a Statutory Agency; and 

10 

 

(b)  the CEO is the Head of that Statutory Agency. 

11 

 

(3)  The terms and conditions of employment of persons employed 

12 

under paragraph (1)(b) are such as the CEO determines from time 

13 

to time.

39A  Staff seconded to Infrastructure Australia 

15 

 

(1)  Infrastructure Australia may be assisted by: 

16 

 

(a)  persons engaged under the Public Service Act 1999, and 

17 

officers and employees of authorities of the Commonwealth, 

18 

whose services are made available to Infrastructure Australia 

19 

in connection with the performance of its functions or the 

20 

exercise of its powers; and 

21 

 

(b)  persons whose services are so made available under 

22 

arrangements made under subsection (2). 

23

6  Transfer of records to Infrastructure Australia 

The Secretary of the Department may transfer to Infrastructure 

Australia records or documents of the Commonwealth that relate to the 

functions of Infrastructure Australia. 

Note: 

The records and documents are Commonwealth records for the purposes of the Archives 

Act 1983

7  Legal proceedings of the Commonwealth 

(1) 

This item applies if: 

 

(a)  any proceedings to which the Commonwealth was a party

were pending in any court or tribunal immediately before the 

11 

transition time; and 

12 

 

(b)  the proceedings: 

13 

 

(i)  relate to an asset or liability that, as a result of a 

14 

declaration made under item 2 or 3, has vested in 

15 

Infrastructure Australia; or 

16 

 

(ii)  otherwise relate to a function of Infrastructure Australia. 

17 

(2) 

Infrastructure Australia is substituted for the Commonwealth as a party 

18 

to the proceedings: 

19 

 

(a)  for proceedings not covered by subparagraph (1)(b)(i)--from 

20 

the transition time; and 

21 

 

(b)  in any other case--from the specified succession time in 

22 

relation to the asset or liability.

(a)  Infrastructure Australia; or

(b)  the CEO; or 

13 

 

(c)  a responsible person for the purposes of a provision under

section 415-95 of the Income Tax Assessment Act 1997

(3) 

For the purposes of this item, instrument

(a)  includes: 

17 

 

(i)  a contract, undertaking, deed or agreement; and 

18 

 

(ii)  a notice, authority, order or instruction; and

(iii)  an instrument made under an Act or under regulations;

but 

21 

 

(b)  does not include an exempt instrument.

(4) 

For the purposes of this item, exempt instrument means:

(a)  an Act; or

(b)  an instrument made under this Act.

9  Infrastructure Australia Special Account 

(1) 

At the transition time, the Special Account established under 

subsection 20(1) of the Financial Management and Accountability Act 

1997 with the name "Infrastructure Australia Special Account" is 

abolished. 

(2) 

If an amount (the old amount) stands to the credit of that Special 

Account immediately before the transition time, there is payable to 

Infrastructure Australia, at the transition time, an amount equal to the 

old amount.

The amount payable to Infrastructure Australia under subitem (2) is to

be paid out of the Consolidated Revenue Fund, which is appropriated 

12 

accordingly.

Reporting obligation 

10  Final annual report 

(1) 

The old Infrastructure Australia must, before the transition time, prepare 

and give to the Minister, for presentation to the Parliament, a report on 

the old Infrastructure Australia's operations during the final reporting 

period. 

(2) 

Subsection 26(2) of the Infrastructure Australia Act 2008 as in force 

immediately before the commencement of this item applies to the 

report, as if a reference to a financial year were a reference to the final 

reporting period.

(3) 

The Minister must table the report in each House of the Parliament as 

11 

soon as practicable after the transition time. 

12 

(4) 

A report given to the Minister under this item discharges the old 

13 

Infrastructure Australia's obligations under section 26 of the 

14 

Infrastructure Australia Act 2008 in respect of any period covered by 

15 

the report. 

16 

(5) 

In this item: 

17 

final reporting period means the period: 

18 

 

(a)  beginning: 

19 

 

(i)  if, at the commencement of this item, no report under 

20 

section 26 of the Infrastructure Australia Act 2008 has 

21 

been given to the Minister for the financial year ending 

22 

before that commencement--at the start of that financial 

23 

year; or 

24 

 

(ii)  otherwise--at the start of the financial year in which 

25 

this item commences; and

(b)  ending immediately before the transition time.

(1) 

Nothing in this Schedule produces the result that the appointment of an 

old Infrastructure Australia officer has effect as if it were an 

appointment, engagement or employment of the person in relation to 

Infrastructure Australia.

In this item: 

old Infrastructure Australia officer means: 

 

(a)  a member of the old Infrastructure Australia; or 

 

(b)  the Infrastructure Coordinator.

12  Things done by, or in relation to, Infrastructure 

Coordinator 

(1) 

If, before the transition time, a thing was done by, or in relation to, the 

Infrastructure Coordinator, then, for the purposes of the operation of: 

 

(a)  Division 415 of the Income Tax Assessment Act 1997 as in 

force from the transition time; and 

 

(b)  the infrastructure project designation rules made under 

section 415-100 of that Act; and

(c)  any other law to the extent that it relates to that Division or 

11 

those rules; 

12 

the thing is taken to have been done by, or in relation to, the responsible 

13 

person under section 415-95 of that Act for the purposes of the 

14 

provision under, or in relation to, which the thing would have been done 

15 

if the thing had been done immediately after the transition time. 

16 

(2) 

For the purposes of subitem (1), a thing done before the transition time 

17 

under a provision amended by Part 2 of Schedule 1 to this Act has effect 

18 

from that time as if it had been done under that provision as amended. 

19 

However, this is not taken to change the time at which the thing was 

20 

actually done. 

21 

(3) 

For the purposes of subitem (1), if: 

22 

 

(a)  any proceedings to which the Infrastructure Coordinator was 

23 

a party were pending in any court or tribunal immediately 

24 

before the transition time; and 

25 

 

(b)  the proceedings relate to a thing done by, or in relation to, the 

26 

Infrastructure Coordinator under Division 415 of the Income 

27 

Tax Assessment Act 1997

28 

the responsible person mentioned in that subitem in relation to the thing 

29 

is substituted for the Infrastructure Coordinator as a party to the 

30 

proceedings from the transition time. 

31 

(4) 

The Minister may, by writing, determine either or both of the following: 

32 

 

(a)  that subitem (1) does not apply in relation to a specified thing 

33 

done by, or in relation to, the Infrastructure Coordinator;

13  Infrastructure project designation rules 

(1) 

A reference to the Infrastructure Coordinator in a provision of the 

infrastructure project designation rules made under section 415-100 of

the Income Tax Assessment Act 1997 has effect, after the transition

time, as if it were a reference to the responsible person for the purposes 

12 

of the provision under section 415-95 of that Act.

(2) 

Subsection 415-100(2) of the Income Tax Assessment Act 1997 applies

on and after the transition time as if the reference in that subsection to 

15 

Infrastructure Australia included a reference to the old Infrastructure 

16 

Australia.

14  Continuation of Infrastructure Priority Lists 

An Infrastructure Priority List under paragraph 5(2)(b) of the 

Infrastructure Australia Act 2008 in effect immediately before the 

transition time has effect, from the transition time, as if it had been 

made by Infrastructure Australia. 

15  Exemption from stamp duty and other State or Territory 

taxes 

(1) 

No stamp duty or other tax is payable under a law of a State or a 

Territory in respect of an exempt matter, or anything connected with an

exempt matter. 

11 

(2) 

For the purposes of this item, an exempt matter is: 

12 

 

(a)  the vesting of an asset or liability as a result of a declaration 

13 

made under item 2 or 3; or 

14 

 

(b)  the operation of this Schedule in any other respect. 

15 

(3) 

The Minister may certify in writing: 

16 

 

(a)  that a specified matter is an exempt matter; or 

17 

 

(b)  that a specified thing was connected with a specified exempt 

18 

matter.

(4) 

In all courts, and for all purposes (other than for the purposes of 

20 

criminal proceedings), a certificate under subitem (3) is prima facie 

21 

evidence of the matters stated in the certificate.

A document that appears to be a certificate made or issued under a

particular provision of this Schedule:

(a)  is taken to be such a certificate; and

(2) 

In exercising powers or functions under a delegation, the delegate must 

comply with any directions of the Minister. 

18  Constitutional safety net 

(1) 

If the operation of this Schedule would result in an acquisition of 

property (within the meaning of paragraph 51(xxxi) of the Constitution) 

from a person otherwise than on just terms (within the meaning of that 

paragraph), the Commonwealth is liable to pay a reasonable amount of

compensation to the person. 

11 

(2) 

If the Commonwealth and the person do not agree on the amount of the 

12 

compensation, the person may institute proceedings in a court of 

13 

competent jurisdiction for the recovery from the Commonwealth of 

14 

such reasonable amount of compensation as the court determines.

The Minister may, by legislative instrument, make rules in relation to 

17 

transitional matters arising out of the amendments made by Schedule 1.
