The Parliament of Australia enacts:

1 Short title
4
This Act may be cited as the Insurance Contracts Amendment Act
5
2010.

2 Commencement
7
(1) Each provision of this Act specified in column 1 of the table
8
commences, or is taken to have commenced, in accordance with
9
column 2 of the table. Any other statement in column 2 has effect
10
according to its terms.

14A Powers of ASIC--insurer's failure to comply with the duty of

the utmost good faith in relation to handling or settlement
2
of claims

(1) This section applies if an insurer under a contract of insurance has
4
failed to comply with the duty of the utmost good faith in the
5
handling or settlement of a claim or potential claim under the
6
contract.
7
(2) Despite any provision of Chapter 7 of the Corporations Act 2001
8
or any regulation made under that Chapter, ASIC may exercise its
9
powers under Subdivision C of Division 4 of Part 7.6 of that Act or
10
Subdivision A of Division 8 of that Part in relation to the insurer as
11
if the insurer's failure to comply with the duty of the utmost good
12
faith were a failure by the insurer to comply with a financial
13
services law.
14
Note:
Subdivision C of Division 4 of Part 7.6 of the Corporations Act 2001
15
deals with variation, suspension and cancellation of an Australian
16
financial services licence, and Subdivision A of Division 8 of that Part
17
deals with banning persons from providing financial services.
18
(3) In this section:
19
financial services law has the meaning given by section 761A of
20
the Corporations Act 2001.

6 Application
22
(1)
The amendments made by this Part apply to:
23
(a) a contract of insurance that is originally entered into after the
24
commencement of this item; and
25
(b) a contract of general insurance that was originally entered
26
into before the commencement of this item and is renewed
27
after that commencement.
28
(2)
If a contract of life insurance that was originally entered into before the
29
commencement of this item is varied after that commencement to:
30
(a) increase a sum insured under the contract; or
31
(b) increase the number of life insureds under the contract; or
32
(c) provide one or more additional kinds of insurance cover;
33
then:

(d) the contract is treated, to the extent of the variation, as if it

had been originally entered into after the commencement of
2
this item; and

extent of the variation.

(1A) If a contract of insurance, or a proposed contract of insurance,
5
includes:
6
(a)
provisions
(the
first group of provisions) that would, if they
7
comprised a single contract or proposed contract, form a
8
contract referred to in any of paragraphs (1)(a) to (f); and
9
(b)
provisions
(the
second group of provisions) that would, if
10
they comprised a single contract or proposed contract, form a
11
contract other than a contract referred to in any of
12
paragraphs (1)(a) to (f);
13
then subsection (1) applies as if the first group of provisions and
14
the second group of provisions were each a separate contract or
15
proposed contract.

(1B) Despite subsection (1A), if a contract of insurance, or a proposed
17
contract of insurance, includes:
18
(a)
provisions
(the
first group of provisions) for the purposes of
19
a law referred to in subparagraph (1)(f)(i); and
20
(b)
provisions
(the
second group of provisions) that provide
21
insurance cover of the kind referred to in
22
subparagraph (1)(f)(ii);
23
then subsection (1) applies as if the first group of provisions and
24
the second group of provisions were together a separate contract or
25
proposed contract.

(1C)
If:
27
(a) a provision of a contract of insurance, or a proposed contract
28
of insurance, affects the operation of a group or groups of
29
provisions included in the contract or proposed contract; and
30
(b) because of subsection (1A) or (1B), subsection (1) applies as
31
if that group or those groups of provisions were a separate
32
contract or proposed contract;

then the first-mentioned provision is, for the purposes of

subsection (1), to be regarded as a provision included in that
2
separate contract or proposed contract.

10 Application

(1)
The amendment made by this Part applies to:
5
(a) a contract of insurance that is originally entered into after the
6
commencement of this item; and
7
(b) a contract of general insurance that was originally entered
8
into before the commencement of this item and is renewed
9
after that commencement.

(2)
If a contract of life insurance that was originally entered into before the
11
commencement of this item is varied after that commencement to:
12
(a) increase a sum insured under the contract; or
13
(b) increase the number of life insureds under the contract; or
14
(c) provide one or more additional kinds of insurance cover;
15
then:
16
(d) the contract is treated, to the extent of the variation, as if it
17
had been originally entered into after the commencement of
18
this item; and
19
(e) the amendment made by this Part applies to the contract to
20
the extent of the variation.

A notice or other document that is required or permitted by this Act
4
to be given to a person in writing may be given:
5
(a) to a body corporate in any way in which documents may be
6
served on the body corporate; or
7
(b) to a natural person:
8
(i)
personally;
or
9
(ii) by post to that person at the person's last-known
10
address.

Note:
A notice or other document may also be given to a person by
12
electronic communication in accordance with the Electronic
13
Transactions Act 1999 and any regulations made under that Act.

9 Application

The amendments made by this Schedule apply in relation to a notice or
18
other document or information given to a person under this Act after the
19
commencement of this item.

11F ASIC's power to intervene in proceedings

(1) ASIC may intervene in any proceeding relating to a matter arising
7
under:
8
(a) this Act; or
9
(b) Part 3 of the Medical Indemnity (Prudential Supervision and
10
Product Standards) Act 2003.
11
(2) If ASIC intervenes in a proceeding under subsection (1):
12
(a) ASIC is taken to be a party to the proceeding; and
13
(b) ASIC has all the rights, duties and liabilities of such a party
14
(subject to this Act or Part 3 of the Medical Indemnity
15
(Prudential Supervision and Product Standards) Act 2003, as
16
the case requires).
17
(3) Without limiting subsection (2), ASIC may appear and be
18
represented in a proceeding in which it intervenes under
19
subsection (1):
20
(a) by a staff member of ASIC; or
21
(b) by a natural person or body to whom ASIC has delegated its
22
functions and powers under this Act; or
23
(c) by a solicitor or by counsel.

The amendment made by this Schedule applies to a proceeding
26
commenced after the commencement of this item.

Scope
7
(1) This section applies in relation to the original entering into of an
8
eligible contract of insurance.
9
Note:
This section does not apply in relation to the renewal, extension,
10
reinstatement or variation of an eligible contract of insurance.
11
Section 21B applies in relation to the renewal of an eligible contract of
12
insurance.

Position of the insurer
14
(2) Before the contract is originally entered into, the insurer may
15
request the insured to answer one or more specific questions that
16
are relevant to the decision of the insurer whether to accept the risk
17
and, if so, on what terms.
18
(3) If the insurer does not make a request in accordance with
19
subsection (2), the insurer is taken to have waived compliance with
20
the duty of disclosure in relation to the contract.
21
(4)
If
the
insurer:
22
(a) makes a request in accordance with subsection (2); and
23
(b) requests the insured to disclose to the insurer any other
24
matter that would be covered by the duty of disclosure in
25
relation to the contract;
26
then the insurer is taken to have waived compliance with the duty
27
of disclosure in relation to that other matter.

(i) is known to the insured; and

(ii) a reasonable person in the circumstances could be
6
expected to have disclosed in answer to that question;
7
then the insured is taken to have complied with the duty of
8
disclosure in relation to the contract.

Definition

(6) In this section and in section 21B:
11
eligible contract of insurance means a contract of insurance that is
12
specified in the regulations to be an eligible contract of insurance
13
for the purposes of those sections.

21B Duty of disclosure before renewal of eligible contract of
15
insurance
16
Scope
17
(1) This section applies in relation to the renewal of an eligible
18
contract of insurance.
19
Note:
Eligible contract of insurance is defined in subsection 21A(6).

Position of the insurer
21
(2) Before the contract is renewed, the insurer may do either or both of
22
the following things:
23
(a) request the insured to answer one or more specific questions
24
that are relevant to the decision of the insurer whether to
25
accept the risk and, if so, on what terms;
26
(b) give the insured a copy of any matter previously disclosed by
27
the insured in relation to the contract and request the insured:
28
(i) to disclose to the insurer any change to that matter; or
29
(ii) to inform the insurer that there is no change to that
30
matter.

Note:
Change, to a matter previously disclosed by an insured in
32
relation to an eligible contract of insurance, is defined in
33
subsection (12).

(3) If the insurer does not:

(a) make a request in accordance with paragraph (2)(a); or
2

then the insurer is taken to have waived compliance with the duty
6
of disclosure in relation to the renewed contract.

This subsection is affected by subsection (11).

(4)
If

insurer:

(a) makes a request in accordance with paragraph (2)(a); and
10
(b) also requests (other than in accordance with paragraph (2)(b))

the insured to disclose to the insurer any other matter that
12
would be covered by the duty of disclosure in relation to the
13
renewed contract;
14
then the insurer is taken to have waived compliance with the duty
15
of disclosure in relation to that other matter.

This subsection is affected by subsection (11).

(5)
If
the
insurer:
18
(a) gives the insured a copy of any matter previously disclosed
19
by the insured and makes a request in accordance with
20
paragraph (2)(b); and
21
(b) also requests (other than in accordance with paragraph (2)(a))
22
the insured to disclose to the insurer any other matter that
23
would be covered by the duty of disclosure in relation to the
24
renewed contract;
25
then the insurer is taken to have waived compliance with the duty
26
of disclosure in relation to that other matter.

This subsection is affected by subsection (11).

(6)
If:
30
(a) the insurer makes a request in accordance with
31
paragraph (2)(a), but does not give the insured a copy of any
32
matter previously disclosed by the insured or make a request
33
in accordance with paragraph (2)(b); and

(b) before the contract is renewed, the insured discloses, in

answer to each specific question included in the request, each
2
matter that:

(i) is known to the insured; and

(ii) a reasonable person in the circumstances could be
5
expected to have disclosed in answer to that question;
6
then the insured is taken to have complied with the duty of
7
disclosure in relation to the renewed contract.

This subsection is affected by subsection (11).

(7)
If:

(a) the insurer gives the insured a copy of any matter previously
11
disclosed by the insured and makes a request in accordance
12
with paragraph (2)(b), but does not make a request in
13
accordance with paragraph (2)(a); and
14
(b) before the contract is renewed, the insured:
15
(i) discloses any change to the matter; or
16
(ii) if there is no change to the matter--informs the insurer
17
that there is no change to the matter;
18
then the insured is taken to have complied with the duty of
19
disclosure in relation to the renewed contract.

This subsection is affected by subsection (11).

(8)
If:
22
(a)
the
insurer:
23
(i) makes a request in accordance with paragraph (2)(a);
24
and
25
(ii) gives the insured a copy of any matter previously
26
disclosed by the insured and makes a request in
27
accordance with paragraph (2)(b); and
28
(b) before the contract is renewed, the insured:
29
(i) discloses each matter referred to in paragraph (6)(b);
30
and
31
(ii) does either of the things referred to in paragraph (7)(b);
32
then the insured is taken to have complied with the duty of
33
disclosure in relation to the renewed contract.

If:

(a) the insurer gives the insured a copy of any matter previously

disclosed by the insured and makes a request in accordance
2
with paragraph (2)(b); and
3
(b) before the contract is renewed, the insured does not disclose
4
any change to the matter;
5
then the insured is taken to have informed the insurer that there is
6
no change to the matter.

(10)
If:
8
(a) the insurer gives the insured a copy of any matter previously
9
disclosed by the insured and makes a request in accordance
10
with paragraph (2)(b); and
11
(b) before the contract is renewed, the insured informs the
12
insurer under subsection (7) or (8), or is taken to have
13
informed the insurer under subsection (9), that there is no
14
change to the matter;
15
then neither subsection 21(3) nor section 27 applies in relation to
16
any failure by the insured to disclose any change to the matter.

Effect of failure to comply with duty of disclosure in relation to
18
original contract of insurance or previous renewal
19
(11) If the insured failed to comply with the duty of disclosure in
20
relation to the contract as originally entered into or any renewal of
21
that contract, then, despite any other provision of this section:
22
(a) the insurer is not taken to have waived compliance with the
23
duty of disclosure in relation to the earlier failure; and
24
(b) the insured is not taken to have complied with the duty of
25
disclosure in relation to the earlier failure.

Definitions
27
(12) In this section:
28
change, to a matter previously disclosed by an insured in relation
29
to an eligible contract of insurance, means a change to the matter
30
that:
31
(a) is known to the insured; and
32
(b) a reasonable person in the circumstances could be expected
33
to disclose in relation to that matter.

Section 21A of the Insurance Contracts Act 1984, as substituted by

5 Saving of regulations

(a) an insurer complies with subsection (1) in relation to a

proposed contract of insurance; and

(b) the insurer accepts an offer by the insured to enter into the
4
proposed contract, or makes a counter-offer to enter into
5
another contract of insurance with the insured; and
6
(c) the insurer's acceptance or counter-offer is made more than 2
7
months after the insured's most recent disclosure for the
8
purpose of complying with the duty of disclosure in relation
9
to the proposed contract;
10
the insurer must give to the insured, with the acceptance or
11
counter-offer, a reminder notice stating that the duty of disclosure
12
applies until the proposed or other contract is entered into.
13
(4) If the regulations prescribe a form of writing to be used:
14
(a) for informing a person of the matters referred to in
15
subsection (1); or
16
(b) for the reminder notice referred to in subsection (3);
17
the writing to be used may be in accordance with the prescribed
18
form.

(5) An insurer who has not complied with subsection (1) and (if
20
applicable) subsection (2) may not exercise a right in respect of a
21
failure to comply with the duty of disclosure unless the failure was
22
fraudulent.

(6)
If:
24
(a) an insurer is required to comply with subsection (3) in
25
relation to a contract of insurance; and
26
(b) the insurer does not do so;
27
the insurer may not exercise a right in respect of a failure to
28
comply with the duty of disclosure in relation to a new matter
29
relating to the contract, unless the failure was fraudulent.
30
(7) For the purposes of subsection (6), a new matter relating to a
31
contract of insurance is a matter of which the insured first becomes
32
aware after the insured's most recent disclosure for the purpose of
33
complying with the duty of disclosure in relation to the contract.

31A Non-disclosure by life insured

(1) This section applies in relation to a contract of life insurance under
6
which a person (other than the insured) would become a life
7
insured.

(2) If, during the negotiations for the contract but before it was entered
9
into, the person (the life insured) failed to disclose to the insurer a
10
matter that was known to the life insured, being a matter that:
11
(a) the life insured knew to be a matter relevant to the decision
12
of the insurer whether to accept the risk and, if so, on what
13
terms; or
14
(b) a reasonable person in the circumstances could have been
15
expected to know to be a matter so relevant, having regard to
16
factors including, but not limited to, the nature and extent of
17
the insurance cover to be provided under the relevant contract
18
of insurance;
19
this Act has effect as if the failure to disclose the matter had been a
20
failure by the insured to comply with the duty of disclosure in
21
relation to the matter.

(3) Subsection (2) does not apply in relation to a failure by the life
23
insured to disclose a matter:
24
(a) that diminishes the risk; or
25
(b) that is of common knowledge; or
26
(c) that the insurer knows or in the ordinary course of the
27
insurer's business as an insurer ought to know; or
28
(d) as to which compliance with the duty of disclosure is waived
29
by the insurer.

The amendment made by this Part applies to a contract of life insurance

that is originally entered into after the commencement of this item.

insurer under this Division in relation to a contract of life insurance

(1) This Division extends to the case where there was a failure to
5
comply with the duty of disclosure, or a misrepresentation was
6
made to the insurer, in respect of a proposed life insured under a

group life contract, as if:

(a) the insurance cover provided by the group life contract in
9
respect of the life insured were provided by an individual
10
contract of life insurance between the insurer and the insured;
11
and

(b) the group life contract had been entered into at the time when

the proposed life insured became a life insured under the

group life contract.

(2) For the purposes of this Division, if the failure to comply with the

duty of disclosure, or the misrepresentation, occurred after the
17
proposed life insured became a member of the relevant

superannuation, retirement or other group life scheme but before

the insurance cover was provided by the group life contract in
20
respect of the life insured, the failure or misrepresentation is taken
21
to have occurred before the proposed life insured became a life
22
insured under the group life contract.

Scope

(1) This section applies if:

(c) an amount is recovered (whether by the insurer or the

insured) from another person in respect of the loss.

Amount recovered by insurer
20
(2) If the amount is recovered by the insurer in exercising the insurer's
21
right of subrogation in respect of the loss:
22
(a) the insurer is entitled under this paragraph to so much of the
23
amount as does not exceed the sum of:
24
(i) the amount paid by the insurer to the insured in respect
25
of the loss; and
26
(ii) the amount paid by the insurer for administrative and
27
legal costs incurred in connection with the recovery; and
28
(b) if the amount recovered exceeds the amount to which the
29
insurer is entitled under paragraph (a)--the insured is entitled

(4) Subsections (5), (6) and (7) apply if the amount is recovered by the

(5) If the amount recovered is less than the sum of the paragraph (2)(a)

amount and the paragraph (3)(a) amount, the insurer and the

insured are each entitled to a portion of the amount recovered,
31
calculated on a pro rata basis in proportion to the paragraph (2)(a)

amount and the paragraph (3)(a) amount.

(6) If the amount recovered is equal to the sum of the paragraph (2)(a)

amount and the paragraph (3)(a) amount:

(7) If the amount recovered exceeds the sum of the paragraph (2)(a)

amount and the paragraph (3)(a) amount, then:

(a) the insurer is entitled to the paragraph (2)(a) amount; and
5
(b) the insured is entitled to the paragraph (3)(a) amount; and

(c) in addition to those amounts, the insurer and the insured are
7
each entitled to a portion of the remainder of the amount
8
recovered, calculated on a pro rata basis in proportion to the
9
amounts referred to in subparagraphs (2)(a)(ii) and (3)(a)(ii).

Amount awarded by way of interest

(8) If an amount (the interest amount) by way of interest is awarded in
12
respect of the amount recovered (the principal amount), the
13
following apply:

(a) if the principal amount was recovered by the insurer, the
15
insurer is entitled to the interest amount;
16
(b) if the principal amount was recovered by the insured, the
17
insured is entitled to the interest amount;
18
(c) if the principal amount was recovered by the insurer and the
19
insured jointly, the interest amount is to be divided fairly
20
between the insurer and the insured, having regard to:
21
(i) the amounts to which the insurer and the insured are
22
each entitled under subsection (5), (6) or (7), as the case
23
requires; and
24
(ii) the periods of time during which the insurer and the
25
insured have lost the use of their money.

Rights of insurer and insured are subject to contract and any
27
agreement
28
(9) The rights of the insurer and the insured under this section are
29
subject to:
30
(a) the relevant contract of insurance; and
31
(b) any agreement made between the insurer and the insured
32
after the loss has occurred.
