The Parliament of Australia enacts:

1 Short title
4
This Act is the Intelligence Services Amendment (Establishment of
5
the Australian Signals Directorate) Act 2018.

2 Commencement
7
(1) Each provision of this Act specified in column 1 of the table
8
commences, or is taken to have commenced, in accordance with
9
column 2 of the table. Any other statement in column 2 has effect
10
according to its terms.

assisting ASD in the performance of its functions.

(5) The Director-General of ASD must, as soon as practicable after

each year ending on 30 June, give to the responsible Minister and

authorities of other countries referred to in subsection (4).

27A Establishment of ASD on a statutory basis

(1) The organisation known as the Australian Signals Directorate is
5
continued in existence in accordance with this Act.
6
Note:
The Australian Signals Directorate provides assistance to the Defence
7
Force in support of military operations and cooperates with the
8
Defence Force on intelligence matters: see paragraph 7(1)(d).
9
(2) For the purposes of the finance law (within the meaning of the
10
Public Governance, Performance and Accountability Act 2013):
11
(a) ASD is a listed entity; and
12
(b) the Director-General of ASD is the accountable authority of
13
ASD; and
14
(c) the following persons are officials of ASD:
15
(i) the Director-General of ASD;
16
(ii) the staff referred to in section 38A;
17
(iii) consultants engaged under section 38B;
18
(iv) employees of contracted service providers engaged
19
under section 38C who are providing services under the
20
relevant ASD contract;
21
(v) persons whose services are made available to ASD
22
under section 38E; and
23
(d) the purposes of ASD include the functions of ASD referred
24
to in section 7.

27B Appointment of Director-General of ASD

(1) There is to be a Director-General of ASD.
27
(2) The Director-General of ASD is to be appointed by the
28
Governor-General by written instrument.

The Director-General of ASD may be reappointed: see section 33AA
30
of the Acts Interpretation Act 1901.

(3) Before a recommendation is made to the Governor-General for the
1
appointment of a person as Director-General of ASD, the Prime
2
Minister must consult with the Leader of the Opposition in the
3
House of Representatives.

27C Control of ASD
5
(1) ASD, and the staff referred to in subsection 38A(1), are under the
6
control of the Director-General of ASD.
7
(2) The Director-General of ASD, under the Minister, is responsible
8
for managing ASD and must advise the Minister in matters relating
9
to ASD.

27D Briefing the Leader of the Opposition about ASD
11
The Director-General of ASD must consult regularly with the
12
Leader of the Opposition in the House of Representatives for the
13
purpose of keeping him or her informed on matters relating to
14
ASD.

Division 2--Administrative provisions relating to the

Director-General of ASD

27E Basis and period of appointment
18
(1) The Director-General of ASD holds office on a full-time basis.
19
(2) The Director-General of ASD holds office for the period specified
20
in the instrument of appointment. The period must not exceed 5
21
years.

27F Remuneration
23
(1) The Director-General of ASD is to be paid the remuneration that is
24
determined by the Remuneration Tribunal. If no determination of
25
that remuneration by the Tribunal is in operation, the
26
Director-General is to be paid the remuneration that is prescribed
27
by the regulations.

(2) The Director-General of ASD is to be paid the allowances that are
1
prescribed by the regulations.

(3) This section has effect subject to the Remuneration Tribunal Act
3
1973.

27G Resignation
5
(1) The Director-General of ASD may resign his or her appointment
6
by giving the Governor-General a written resignation.
7
(2) The resignation takes effect on the day it is received by the
8
Governor-General or, if a later day is specified in the resignation,
9
on that later day.

27H Termination of appointment
11
(1) The Governor-General may terminate the appointment of the
12
Director-General of ASD:
13
(a) for misbehaviour; or
14
(b) if the Director-General is unable to perform the duties of his
15
or her office because of physical or mental incapacity.
16
(2) The Governor-General must terminate the appointment of the
17
Director-General of ASD if:
18
(a) the Director-General:
19
(i) becomes bankrupt; or
20
(ii) applies to take the benefit of any law for the relief of
21
bankrupt or insolvent debtors; or
22
(iii) compounds with his or her creditors; or
23
(iv) makes an assignment of his or her remuneration for the
24
benefit of his or her creditors; or
25
(b) the Director-General is absent, except on leave of absence,
26
for 14 consecutive days or for 28 days in any 12 months; or
27
(c) the Director-General engages in paid work that, in the
28
Minister's opinion, conflicts or may conflict with the proper
29
performance of the Director-General's duties (see
30
section 27L); or
31
(d) the Director-General lacks, or has lost, an essential
32
qualification for performing the duties of his or her office.

Note:
The appointment of the Director-General of ASD may also be
1
terminated under section 30 of the Public Governance, Performance
2
and Accountability Act 2013 (which deals with terminating the
3
appointment of an accountable authority, or a member of an
4
accountable authority, for contravening general duties of officials).

(3) The Governor-General may, with the Director-General of ASD's
6
consent, retire the Director-General from office on the ground of
7
incapacity if the Director-General is:
8
(a) an eligible employee for the purposes of the Superannuation
9
Act 1976; or
10
(b) a member of the superannuation scheme established by deed
11
under the Superannuation Act 1990; or
12
(c) an ordinary employer-sponsored member of PSSAP, within
13
the meaning of the Superannuation Act 2005.

27J Acting appointments

Appointment generally
16
(1) The Minister may, by written instrument, appoint a person to act as
17
the Director-General of ASD:
18
(a) during a vacancy in the office of the Director-General
19
(whether or not an appointment has previously been made to
20
the office); or
21
(b) during any period, or during all periods, when the
22
Director-General:
23
(i) is absent from duty or from Australia; or
24
(ii) is, for any reason, unable to perform the duties of the
25
office.

Note:
For rules that apply to acting appointments, see sections 33AB and
27
33A of the Acts Interpretation Act 1901.
28
Appointment while under command
29
(2) If:
30
(a) a person is appointed to act as the Director-General of ASD
31
under subsection (1); and
32
(b) the person is under the command of the Chief of the Defence
33
Force under the Defence Act 1903;

then, the person must perform the duties of the office of the

Director-General consistently with this Act during the period of the
2
appointment, even though the person is under the command of the

Chief of the Defence Force.

27K Leave of absence
5
(1) A Director-General of ASD has the recreation leave entitlements
6
that are determined by the Remuneration Tribunal.
7
(2) The Minister may grant the Director-General of ASD leave of
8
absence, other than recreation leave, on the terms and conditions as
9
to remuneration or otherwise that the Minister determines.
10
27L Outside employment
11
The Director-General of ASD must not engage in paid work that,
12
in the Minister's opinion, conflicts or may conflict with the proper
13
performance of the Director-General's duties.
14
27M Other terms and conditions
15
The Director-General of ASD holds office on the terms and
16
conditions (if any) in relation to matters not covered by this Act
17
that are determined by the Minister.

27N Delegation by Director-General of ASD
19
(1) The Director-General of ASD may, in writing, delegate all or any
20
of his or her functions or powers under Part 5A to a staff member
21
who holds, or is acting in, a position that is an Executive Level 1
22
position, or an equivalent or higher position, in ASD.
23
(2) In performing a delegated function or exercising a delegated
24
power, the delegate must comply with any written directions of the
25
Director-General of ASD.

38A Employment of staff

Employees

(1) The Director-General of ASD may, on behalf of the
7
Commonwealth, employ by written agreement such employees of
8
ASD as the Director-General thinks necessary for the purposes of
9
this Act.

(2) The Director-General of ASD, on behalf of the Commonwealth,
11
has all the rights, duties and powers of an employer in respect of
12
the engagement, and employment, of employees of ASD.
13
(3) The Director-General of ASD may determine the terms and
14
conditions on which employees are to be employed. Before making
15
a determination the Director-General must consult with the
16
employees who are to be subject to the terms and conditions of the
17
determination.
18
Termination of employment
19
(4) The Director-General of ASD may, at any time, by written notice,
20
terminate the employment of a person employed under
21
subsection (1).

Note:
The Fair Work Act 2009 has rules and entitlements that apply to
23
termination of employment.

38B Consultants
25
(1) The Director-General of ASD may, on behalf of the
26
Commonwealth, engage as consultants persons having suitable
27
qualifications and experience to assist in the performance of ASD's
28
functions.
29
(2) The engagement of a consultant must be by written agreement.

(3) The terms and conditions of engagement are those that the

Director-General of ASD determines in writing.

38C Contracted service providers
3
(1) The Director-General of ASD may, on behalf of the
4
Commonwealth, engage a contracted service provider to assist in
5
the performance of the ASD's functions.
6
(2) The engagement of a contracted service provider must be by
7
written agreement.
8
(3) The terms and conditions of engagement are those that the
9
Director-General of ASD determines in writing.

38D Secondment of employees of ASD

Secondment
12
(1) The Director-General of ASD may, in writing, arrange for an
13
employee of ASD to be seconded for a specified period to a body
14
or organisation whether within or outside Australia.
15
Termination of secondment
16
(2) The Director-General may at any time, by notice given to the body
17
or organisation to which an employee of ASD is seconded under
18
subsection (1), terminate the secondment.

38E Secondment of persons to ASD
20
(1) The Director-General of ASD may, by written agreement with a
21
body or organisation (whether within or outside Australia), arrange
22
for a person who is an officer, employee or other member of staff
23
of the body or organisation to be made available to ASD to
24
perform services in connection with the performance of its
25
functions or the exercise of its powers.
26
(2) The terms and conditions (including remuneration and allowances)
27
applicable to a person performing services under an agreement are
28
those specified in the agreement.

38F Applicability of principles of the Public Service Act 1999
1
Although employees of ASD are not employed under the Public
2
Service Act 1999, the Director-General of ASD must adopt the
3
principles of that Act in relation to employees of ASD to the extent
4
to which the Director-General considers they are consistent with
5
the effective performance of the functions of ASD.

38G Voluntary moves to APS
7
(1) Section 26 of the Public Service Act 1999 applies in relation to an
8
employee of ASD as if the employee were an APS employee and
9
ASD were an APS Agency.
10
(2) An employee of ASD who moves to an APS Agency under that
11
section is entitled to have his or her employment, as an employee
12
of ASD, treated as if it were:
13
(a) employment as an APS employee; and
14
(b) at a corresponding classification, as agreed between the
15
Director-General of ASD and the Public Service
16
Commissioner.

38H Staff grievances
18
(1) The Director-General of ASD must:
19
(a) establish procedures relating to the consideration of
20
grievances of employees and former employees of ASD; and
21
(b) determine the classes of ASD actions that are to be subject to
22
the grievance procedures.
23
(2) In establishing the procedures and determining the classes of
24
action, the Director-General of ASD must:
25
(a) adopt the principles of the Public Service Act 1999 to the
26
extent to which the Director-General considers they are
27
consistent with the effective performance of the functions of
28
ASD; and
29
(b) consult with the employees of ASD.
30
(3) In this section:
31
action includes a refusal or failure to act.

terms and conditions specified in that agreement.

A person who, immediately before 1 July 2018, had his or her terms and

conditions of employment in the old ASD determined under section 24
7
of the Public Service Act 1999, continues to be employed on the terms
8
and conditions specified in that determination.

(4)
Subitems (2) and (3) are subject to any determination made by the
10
Director-General of the new ASD under subsection 38A(3) of the new
11
law.

Preservation of accrued entitlements
13
(5)
The accrued employment benefits of a person to whom subitem (1)
14
applies are not affected by the person ceasing to be an APS employee.

Continuity of service
16
(6)
The service of a person to whom subitem (1) applies as an employee of
17
the new ASD is taken, for all purposes, to have been continuous with
18
his or her service as an employee of the old ASD.

Ceasing employment with ASD

(7)
To avoid doubt, if a person ceases to be an APS employee (as
21
mentioned in subitem (1)), the person is not entitled to receive any
22
payment or other benefit merely because he or she ceased to be such an
23
employee.

This item applies in relation to a person if:
26
(a) the person was a member of the staff of the old ASD before
27
1 July 2018 (whether or not the person was still a member of

the staff of ASD immediately before that date); and

(b) the person was an employee (within the meaning of the

Safety, Rehabilitation and Compensation Act 1988 (the SRC

The SRC Act applies, on and after 1 July 2018, as if the person had

been an employee of the new ASD during the period that the person
6
was a member of the staff of the old ASD.

106 Continuation of existing staffing procedures
8
(1)
The staffing procedures of the old ASD that were in effect immediately
9
before 1 July 2018 continue to apply on and after that date in relation to:
10
(a) processes begun before, but not completed by, that date; and
11
(b) things done by, for or in relation to the old ASD or an
12
employee of the old ASD before that date.
13
(2)
The rules may prescribe details relating to how the staffing procedures
14
of the old ASD will continue to apply under subitem (1).
15
(3)
Subitem (1) and any rules made under subitem (2) have effect despite
16
the Public Service Act 1999.

107 Continuation of existing inquiries under the
18
Inspector-General of Intelligence and Security Act 1986
19
If the Inspector-General of Intelligence and Security had begun an
20
inquiry in relation to the old ASD under section 8 of the
21
Inspector-General of Intelligence and Security Act 1986 before 1 July
22
2018 but had not completed it on that day, then, for the purposes of
23
completing that inquiry:
24
(a) the Inspector-General of Intelligence and Security Act 1986,
25
as in force on the day that the inquiry began, continues in
26
force despite the amendments made by this Schedule; and
27
(b) any other Act amended by this Schedule, as in force on the
28
day that the inquiry began, continues in force despite the
29
amendments made by this Schedule.

Note:
This means, for example, that a person who was given a notice under section 18 of the
31
Inspector-General of Intelligence and Security Act 1986 before 1 July 2018 in relation
32
to an inquiry is still required to comply with the notice after that date if the person
33
hasn't done so.

108 Power to make rules
1
(1)
The Minister may, by legislative instrument, make rules prescribing
2
matters:
3
(a) required or permitted by this Act to be prescribed by the
4
rules; or
5
(b) necessary or convenient to be prescribed for carrying out or
6
giving effect to this Act.
7
(2)
Without limiting subitem (1), the rules may prescribe other matters of a
8
transitional nature in relation to the transfer of persons who were
9
employees of the old ASD before 1 July 2018.
10
(3)
To avoid doubt, the rules may not do the following:
11
(a) create an offence or civil penalty;
12
(b) provide powers of:
13
(i) arrest or detention; or
14
(ii) entry, search or seizure;
15
(c) impose a tax;
16
