The Parliament of Australia enacts:

1 Short title
7
This Act may be cited as the Screen Australia (Transfer of Assets)
8
Act 2010.

2 Commencement
10
(1) Each provision of this Act specified in column 1 of the table
11
commences, or is taken to have commenced, in accordance with
12
2 Screen Australia (Transfer of Assets) Bill 2010 No. , 2010
column 2 of the table. Any other statement in column 2 has effect
1
according to its terms.

1 Definitions

In this Schedule:
5
asset means:
6
(a) any legal or equitable estate or interest in real or personal
7
property, whether actual, contingent or prospective; and
8
(b) any right, power, privilege or immunity, whether actual,
9
contingent or prospective.
10
FAL has the same meaning as in Schedule 2 to the Screen Australia and
11
the National Film and Sound Archive of Australia (Consequential and
12
Transitional Provisions) Act 2008.
13
film library means the library of films and associated materials that
14
were previously owned by FAL and became assets and liabilities of
15
Screen Australia as a result of subitem 3(2) of Schedule 2 to the Screen
16
Australia and the National Film and Sound Archive of Australia
17
(Consequential and Transitional Provisions) Act 2008.
18
film library asset means an asset connected with the film library,
19
including:
20
(a) assets relating to the sale and licensing of materials within
21
the library; and
22
(b) assets relating to the use of materials within the library for
23
digital learning purposes.
24
film library liability means a liability connected with the film library,
25
including:
26
(a) liabilities relating to the sale and licensing of materials within
27
the library; and
28
(b) liabilities relating to the use of materials within the library for
29
digital learning purposes.

liability means any liability, duty or obligation, whether actual,
31
contingent or prospective.

NFSAA means the National Film and Sound Archive of Australia
33
mentioned in subsection 5(1) of the National Film and Sound Archive of
34
Australia Act 2008.

Screen Australia means Screen Australia established by subsection 5(1)

of the Screen Australia Act 2008.

transition time means the start of 1 July 2011.

2 Film library assets and film library liabilities of Screen
4
Australia become assets and liabilities of NFSAA

(1)
This item applies to assets and liabilities of Screen Australia
6
immediately before the transition time.
7
(2)
Subject to this item, at the transition time, all film library assets and
8
film library liabilities cease to be assets and liabilities of Screen
9
Australia and become assets and liabilities of NFSAA without any
10
conveyance, transfer or assignment. NFSAA becomes the successor in
11
law in relation to the film library assets and film library liabilities.
12
(3)
Before the transition time, the Minister may determine, in writing, that
13
specified assets or liabilities of Screen Australia (other than film library
14
assets or film library liabilities) that are related to or connected with the
15
film library, are to become assets or liabilities of NFSAA.
16
(4)
If the Minister makes a determination under subitem (3) that specified
17
assets or liabilities of Screen Australia (other than film library assets or
18
film library liabilities) are to become the assets or liabilities of NFSAA,
19
then, at the transition time, the specified assets or liabilities cease to be
20
assets or liabilities of Screen Australia and become assets or liabilities
21
of NFSAA without any conveyance, transfer or assignment. NFSAA
22
becomes the successor in law in relation to those assets or liabilities.
23
(5)
Before the transition time, the Minister may determine, in writing, that
24
despite subitem (2), specified film library assets or film library
25
liabilities of Screen Australia:
26
(a) continue to be assets or liabilities of Screen Australia; and
27
(b) do not become assets or liabilities of NFSAA.
28
(6)
A determination under subitem (5) has effect accordingly.
29
(7)
A determination made under subitem (3) or (5) is not a legislative
30
instrument.

(8)
If a film library asset or other asset that has become an asset of NFSAA
32
under this item was, immediately before the transition time, held by
33
Screen Australia on trust, that asset is taken, at and after the transition
34

time, to be held by NFSAA on trust and subject to the terms of the trust

on which the asset was so held by Screen Australia.

3 Certificates for vesting of assets
3
(1)
This item applies if:
4
(a) a film library asset or other asset becomes an asset of
5
NFSAA under item 2; and
6
(b) there is lodged with an assets official a certificate that:
7
(i) is signed by the Minister; and
8
(ii) identifies the asset; and
9
(iii) states that the asset has become vested in NFSAA under
10
this Act.

(2)
The assets official may:
12
(a) deal with, and give effect to, the certificate as if it were a
13
proper and appropriate instrument for transactions in relation
14
to assets of that kind; and
15
(b) make such entries in the register in relation to assets of that
16
kind as are necessary, having regard to the effect of this Part.
17
(3)
A certificate made under subitem (1) is not a legislative instrument.
18
(4)
In this item:
19
assets official means the person or authority who, under a law of the
20
Commonwealth, a State or a Territory, or under a trust instrument or
21
otherwise, has responsibility for keeping a register in relation to assets
22
of the kind concerned.
23
4 Certificates taken to be authentic
24
A document that appears to be a certificate made under subitem 3(1):
25
(a) is taken to be such a certificate; and
26
(b) is taken to have been properly given;
27
unless the contrary is established.
28
5 Exemption from stamp duty and other State or Territory
29
taxes
30
(1)
No stamp duty or other tax is payable under a law of a State or a
31
Territory in respect of an exempt matter, or anything connected with an
32
exempt matter.

(2)
For the purposes of this item, an exempt matter is:
1
(a) the vesting of a film library asset or film library liability
2
under subitem 2(2); or
3
(b) the vesting of an asset or liability under subitem 2(4); or
4
(c) the operation of this Schedule in any other respect.

(3)
The Minister may certify in writing:
6
(a) that a specified matter is an exempt matter; or
7
(b) that a specified thing is connected with a specified exempt
8
matter.
9
(4)
In all courts, and for all purposes (other than for the purposes of
10
criminal proceedings), a certificate under subitem (3) is prima facie
11
evidence of the matters stated in the certificate.
12
(5)
A certificate made under subitem (3) is not a legislative instrument.

6 Non-APS employees of Screen Australia transferred to

NFSAA as APS employees

(1)
This item applies to a person who:
4
(a) is an officer appointed, or employee engaged, by Screen
5
Australia under subsection 31(2) of the Screen Australia Act
6
2008 immediately before the transition time; and
7
(b) is covered by a determination that:
8
(i) is made under section 72 of the Public Service Act 1999;
9
and
10
(ii) causes the person, at the transition time, to become a
11
member of the staff of NFSAA engaged under the
12
Public Service Act 1999.
13
Annual leave and personal/carer's leave
14
(2)
The person is taken to have accrued an entitlement to annual leave and
15
personal/carer's leave in connection with becoming a member of the
16
staff of NFSAA engaged under the Public Service Act 1999 that is
17
equivalent to the entitlement that the person had as an officer or
18
employee of Screen Australia immediately before the transition time.
19
Unpaid parental leave
20
(3)
The service of the person as a member of the staff of NFSAA engaged
21
under the Public Service Act 1999 is taken, for the purpose of
22
Division 5 of Part 2-2 of the Fair Work Act 2009, to have been
23
continuous with his or her service as an officer or employee of Screen
24
Australia.

Continuous service
26
(4)
The service of the person as a member of the staff of NFSAA engaged
27
under the Public Service Act 1999 is taken, for all purposes, to have
28
been continuous with his or her service as an officer or employee of
29
Screen Australia.
30
7 No transfer of business
31
Nothing in this Schedule produces the result that a transfer of business
32
has occurred for the purposes of the Fair Work Act 2009.

This item applies to a thing done by, or in relation to, Screen Australia

as a result of the operation of item 2, becomes an asset or liability of
8
NFSAA.

(2)
The Minister may determine, in writing, that the thing is taken, at and
10
after the transition time, to have been done by, or in relation to,
11
NFSAA.

(3)
A determination made under subitem (2) has effect accordingly.
13
(4)
The Minister may make a determination under subitem (2) before or
14
after the transition time.
15
(5)
A determination made under subitem (2) is not a legislative instrument.
16
(6)
This item does not limit the operation of item 2.

9 References in instruments to Screen Australia

(1)
This item applies to an instrument that:

(a) is in force immediately before the transition time; and
20
(b) contains a reference to Screen Australia.

(2)
If the instrument relates to:

(a) a film library asset or a film library liability (or any other
23
asset or liability) of Screen Australia that, as a result of the

operation of item 2, becomes an asset or liability of NFSAA;

10 Legal proceedings of Screen Australia

(1)
This item applies to any proceedings:
18
(a) that were pending in any court or tribunal immediately before
19
the transition time; and
20
(b) to which Screen Australia was a party.

(2)
If the proceedings related, in whole or part, to a film library asset or a
22
film library liability (or any other asset or liability) that, as a result of
23
the operation of item 2, becomes an asset or liability of NFSAA, then
24
NFSAA is taken, at and after the transition time, to be substituted for
25
Screen Australia as a party to the proceedings in respect of that film
26
library asset or film library liability (or other asset or liability).
27
(3)
If subitem (2) does not apply to the proceedings (but the proceedings
28
relate to the operation of this Schedule), then the Minister may
29
determine, in writing, that NFSAA is taken, at and after the transition
30
time, to be substituted for Screen Australia as a party to the
31
proceedings.

(4)
A determination made under subitem (3) has effect accordingly.

11 Transfer of custody of records or documents of Screen
4
Australia
5
(1)
This item applies to a record or document that, immediately before the
6
transition time, is in the custody of Screen Australia.
7
(2)
If the record or document relates to:
8
(a) a film library asset or a film library liability (or any other
9
asset or liability) of Screen Australia that, as a result of the
10
operation of item 2, becomes an asset or liability of NFSAA;
11
or
12
(b) a thing done by, or in relation to, Screen Australia, that, as a
13
result of the operation of item 8, is taken to have been done
14
by, or in relation to, NFSAA;
15
then, after the transition time, the record or document is to be
16
transferred into the custody of NFSAA.
17
(3)
If subitem (2) does not apply to the record or document (but the record
18
or document relates to the operation of this Schedule), then the Minister
19
may determine, in writing, that the record or document is to be
20
transferred after the transition time into the custody of NFSAA.
21
(4)
A determination made under subitem (3) has effect accordingly.
22
(5)
The Minister may make a determination under subitem (3) before or
23
after the transition time.
24
(6)
A determination made under subitem (3) is not a legislative instrument.
25
(7)
Section 20 of the Commonwealth Authorities and Companies Act 1997
26
applies in relation to accounting records transferred to a body under this
27
item as if the records were records of that body.

12 Variation of the operation of this Part
29
(1)
The Minister may determine, in writing, that a provision of item 9, 10 or
30
11 does not apply in relation to instruments, proceedings, records or
31
documents specified in the determination.

(2)
A determination made under subitem (1) has effect accordingly, and

takes effect:

(a) at the time specified in the determination (which may be a

time before the determination is made but not a time earlier

than the transition time); or
5
(b) if a time is not specified--at the beginning of the day on
6
which the determination is made.

A determination made under subitem (1) is not a legislative instrument.

13 Transfer of appropriated money
2
(1)
For the purposes of the operation of an Appropriation Act after the
3
transition time, the Finance Minister may determine, by legislative
4
instrument, that one part of an amount referred to in that Act that relates
5
to Screen Australia is to be read as an amount that relates to NFSAA.
6
The determination must be related to the operation of this Schedule.
7
(2)
A determination made under subitem (1) has effect accordingly.
8
(3)
A determination made under subitem (1) cannot result in a change in the
9
total amount appropriated.
10
(4)
A determination made under subitem (1) is a legislative instrument, but
11
neither section 42 (disallowance) nor Part 6 (sunsetting) of the
12
Legislative Instruments Act 2003 applies to the determination.
13
(5)
In this item:
14
Appropriation Act means an Act appropriating money for expenditure
15
out of the Consolidated Revenue Fund.
16
Finance Minister means the Minister administering the Financial
17
Management and Accountability Act 1997.
18
14 Compensation for acquisition of property
19
(1)
If the operation of this Act would result in an acquisition of property
20
from a person otherwise than on just terms, the Commonwealth is liable
21
to pay a reasonable amount of compensation to the person.
22
(2)
If the Commonwealth and the person do not agree on the amount of the
23
compensation, the person may institute proceedings in a court of
24
competent jurisdiction for the recovery from the Commonwealth of
25
such reasonable amount of compensation as the court determines.
26
(3)
In this item:
27
acquisition of property has the same meaning as in paragraph 51(xxxi)
28
of the Constitution.
29
just terms has the same meaning as in paragraph 51(xxxi) of the
30
Constitution.

15 Delegation by Minister

(1)
The Minister may delegate, in writing, all or any of his or her powers
1
and functions under this Act to:
2
(a) the Secretary of the Department; or
3
(b) an SES employee, or acting SES employee, in the
4
Department.
5
(2)
In exercising powers or functions under a delegation, the delegate must
6
comply with any directions of the Minister.
7
16 Regulations
8
(1)
The Governor-General may make regulations prescribing matters:
9
(a) required or permitted by this Act to be prescribed; or
10
(b) necessary or convenient to be prescribed for carrying out or
11
giving effect to this Act.
12
(2)
In particular, regulations may be made prescribing matters of a
13
transitional nature (including prescribing any saving or application
14
provisions) relating to:
15
(a) the amendments or repeals made by this Act; or
16
(b) the employment, at or after the transition time, by NFSAA, of
17
a person appointed, engaged or employed, immediately
18
before the transition time, by Screen Australia; or
19
(c) leave of employees or staff of Screen Australia approved
20
before the transition time.

To avoid doubt, prior to 1 July 2011 this Schedule applies as if
23
references in this Schedule to the National Film and Sound Archive of
24
Australia were references to the National Film and Sound Archive.

references in this Schedule to the National Film and Sound Archive of
27
Australia Act 2008 were references to the National Film and Sound
