1 Short title

This Act is the
Treasury Laws Amendment (Modernising Business

Communications) Act 2022
.

2 Commencement

(1) Each provision of this Act specified in column 1 of the table
9
commences, or is taken to have commenced, in accordance with
10
column 2 of the table. Any other statement in column 2 has effect
11
according to its terms.

that does not comply with the election, as mentioned in

paragraph (1)(b), other than in the manner mentioned in
5
paragraph 110D(1)(e); and

(c) if the document is a report mentioned in section 314A
7
(annual reporting by notified foreign passport funds)--the
8
requirement (if applicable) in paragraph 314A(4)(b) (about
9
sending report in elected language) is satisfied.

subsection (4A), see subsection 13.3(3) of the

(1) This section applies if:
4
(a) the sender is required or permitted to send a document to
5
which this Division applies to the recipient under a provision
6
of this Act; and
7
(b) the conditions in subsection (3) are satisfied; and
8
(c) any of the following apply:
9
(i) where the sender is a company--the recipient is a
10
member of the company;
11
(ii) where the sender is the responsible entity of a registered
12
scheme--the recipient is a member of the scheme;
13
(iii) where the sender is a disclosing entity mentioned in
14
subsection 111AC(1)--the recipient is a member of the
15
disclosing entity;
16
(iv) where the sender is a disclosing entity mentioned in
17
subsection 111AC(2)--the recipient is a member of the
18
managed investment scheme mentioned in that
19
subsection; and
20
(d) the sender sends the document in accordance with the
21
provision mentioned in paragraph (a) to one or more other
22
members of a kind mentioned in whichever of
23
subparagraphs (c)(i) to (iv) applies.
24
(2) For the purposes of the provision mentioned in paragraph (1)(a):
25
(a) the sender is taken to send the document, as required or
26
permitted in accordance with that provision, at the later of:
27
(i) the time all of the conditions in paragraphs (3)(a), (b)
28
and (c) are first satisfied; and
29
(ii) the time the sender first sends the document to one or
30
more other members as mentioned in paragraph (1)(d);
31
and
32
(b) the recipient is taken to receive the document when it is taken
33
to be sent under paragraph (a) of this subsection.

Conditions for relief
1
(3) For the purposes of paragraph (1)(b), the conditions are that:
2
(a) the sender has received notification in relation to each of the
3
following addresses that indicates it is not a current address
4
for the recipient:
5
(i) if the sender is a company or responsible entity of a
6
registered scheme--the recipient's address in the
7
company or scheme's register of members;
8
(ii) any other addresses for the recipient, including any
9
electronic addresses for receiving electronic
10
communications, known to the sender because the
11
recipient is a member mentioned in whichever of
12
subparagraphs (1)(c)(i) to (iv) applies; and
13
(b) the sender reasonably believes that none of those addresses
14
are a current address for the recipient; and
15
(c) the sender is unable, after taking reasonable steps, to
16
ascertain a current address for the recipient.
17
(4) For the purposes of paragraph (3)(c), the sender has not taken
18
reasonable steps unless the sender has attempted to communicate
19
with the recipient using all contact details for the recipient that are
20
known to the sender because the recipient is a member mentioned
21
in whichever of subparagraphs (1)(c)(i) to (iv) applies.
22
Sender must send notice for relief to continue to apply after period
23
of 18 months
24
(5) Subsection (6) applies if the period of 18 months starting on the
25
day all of the conditions in paragraphs (3)(a), (b) and (c) are first
26
satisfied has ended.
27
(6) Subsection (2) does not apply to the sending of a document
28
mentioned in paragraph (1)(d) if, within the last 12 months of that
29
period, the sender did not take reasonable steps to advise the
30
recipient that:
31
(a) the sending of documents to which this Division applies to
32
the recipient by the sender is suspended; and
33
(b) although that sending has been suspended, it will be resumed
34
if the recipient provides a current address (which may be an
35
electronic address) for being sent those documents.

withdrawal, specifies a later day--the first business day

after that later day.

(5) However, a nomination of a physical address under subsection (1)
17
is not in force in relation to a document if:
18
(a) the giver is required or permitted under this Code to give the
19
document by a particular day; and
20
(b) the giver receives notice of the nomination from the recipient
21
on or after the day that is 7 days immediately before the day
22
mentioned in paragraph (a) of this subsection.
23
(6) Subsection (7) applies if a nomination of a physical
address under
24
subsection (1) by the recipient (the
earlier nomination
) was in
25
force in relation to the document immediately before the
26
nomination mentioned in subsection (5) started to be in force
27
(disregarding that subsection).
28
(7) Apply these rules in relation to the document:
29
(a) treat the earlier nomination as being in force; and
30
(b) subsection (5) does not prevent the nomination mentioned in
31
that subsection from being in force; and
32
(c) treat the reference in paragraph 195E(1)(a) to "that address"
33
as being a reference to "any address so nominated".

195E Manner of giving document--appropriate address

Basic rule
2
(1) The appropriate address of the recipient in relation to a document
3
is:
4
(a) if a nomination of an address by the recipient is in force
5
under subsection 195D(1) in relation to the document--that
6
address; or
7
(b) if paragraph (a) does not apply, and an election by the
8
recipient to be given documents in physical form is in force
9
under section 195B in relation to the document:
10
(i) where the recipient does not carry on a business--the
11
address of the place of residence of the recipient last
12
known to the giver; or
13
(ii) where the recipient carries on a business--the address
14
of the place of residence or business of the recipient last
15
known to the giver; or
16
(c) if paragraph (a) does not apply, and an election by the
17
recipient to be given documents in electronic form is in force
18
under section 195B in relation to the document--the
19
electronic address (if any) for receiving electronic
20
communications for the recipient last known to the giver; or
21
(d) if paragraphs (a), (b) and (c) do not apply:
22
(i) where the recipient does not carry on a business--the
23
address of the place of residence of the recipient last
24
known to the giver; or
25
(ii) where the recipient carries on a business--the address
26
of the place of residence or business of the recipient last
27
known to the giver; or
28
(iii) the electronic address (if any) for receiving electronic
29
communications for the recipient last known to the
30
giver.

A nominated address may be an electronic address.

(b) the most recent document of that kind that the giver gave the

recipient was given at a particular address in accordance with
4
that paragraph.

(3) Despite paragraph (1)(d), the appropriate address of the recipient in
6
relation to the document is:
7
(a) unless paragraph (b) applies--the address mentioned in
8
paragraph (2)(b); or
9
(b) where notice given by the giver to the recipient is in force
10
under subsection (4), specifying an address in accordance
11
with paragraph (4)(b)--the specified address.
12
(4) For the purposes of paragraph (3)(b), the giver may give the
13
recipient notice that contains a prominent statement to the effect
14
that:
15
(a) unless the recipient nominates another physical or electronic
16
address, the giver will give documents of that kind to the
17
giver at a specified physical or electronic address after the
18
expiry of 14 days after the notice is given; and
19
(b) that specified physical or electronic address is:
20
(i) the address of the place of residence or business of the
21
recipient last known to the giver; or
22
(ii) the electronic address for receiving electronic
23
communications for the recipient last known to the
24
giver; and
25
(c) the recipient may at any time nominate an alternative
26
physical or electronic address to the giver.

Note:
The appropriate address for giving the notice is worked out under
28
subsection (1).

(5) Notice under subsection (4) comes into force 14 days after it is
30
given (regardless whether the recipient has responded to that
31
notice).

(a) the nomination must be consistent with an election; and
1
(b) if there is any inconsistency between the nomination and the
2
election, the nomination is not valid to the extent of that
3
inconsistency.

195G Information to accompany documents given in electronic form
5
(1) Subsection (2) applies in relation to a document if:
6
(a) the document is required or permitted by this Code to be
7
given by a person (the
giver
) to another person (the
8
recipient
); and
9
(b) the document is:
10
(i) specified in regulations made for the purposes of this
11
paragraph; or
12
(ii) in a class of documents specified in regulations made
13
for the purposes of this paragraph; and
14
(c) the giver gives the recipient the document in the manner
15
mentioned in paragraph 195A(1)(b) or (c).
16
(2) The giver must take reasonable steps to ensure that:
17
(a) at the time the giver gives the document to the recipient, the
18
document is accompanied by the following information:
19
(i) a description of the nature of the document;
20
(ii) a description of the consequences of not reacting to the
21
document;
22
(iii) if regulations made for the purposes of this
23
subparagraph specify other information--that
24
information; and
25
(b) that information is presented in a reasonably prominent form.

5,000 penalty units.
