CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 1019

Prohibition on invitations or offers in respect of securities of proposed corporation 
1019. A person shall not:

   (a)  issue a form of application for the issue of, or an invitation to
        subscribe for or buy, securities of a corporation that has not been
        formed; or

   (b)  offer securities of a corporation that has not been formed for
        subscription or purchase; even if it is proposed to form the
        corporation.
