CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 125

Articles of association
125. (1) There may, in the case of a company limited by shares (other than a
Table A proprietary company) or a no liability company, and there shall, in
the case of a company limited by guarantee, a company limited both by shares
and by guarantee or an unlimited company, be registered with the memorandum,
articles signed by the subscribers to the memorandum prescribing regulations
for the company.

(2) At any time before the registration under this Division of a Table A
proprietary company, the subscribers to the company's memorandum may sign
articles prescribing regulations for the company.

(3) Where, as at the registration under this Division of a Table A proprietary
company, no articles prescribing regulations for the company have been signed
under subsection (2), the company may, at any time after that registration,
make such articles by special resolution.

(4) Articles shall be:

   (a)  printed;

   (b)  divided into numbered paragraphs; and

   (c)  unless made under subsection (3)-signed by each subscriber to the
        memorandum in the presence of at least one witness (not being another
        subscriber).

(5) A witness to a signature to the articles of a subscriber to the memorandum
shall attest the signature and add the address of the witness.

(6) In the case of an unlimited company that has a share capital, the articles
shall state the amount of share capital with which the company proposes to be
registered and the division of that share capital into shares of a fixed
amount.
