CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 211

Consequences of default by agent
211. Where, by virtue of paragraph 1302 (1) (b), the register of members is
kept at the office of a person other than the company, and by reason of any
default of that other person, the company contravenes section 210 or
subsection 1302 (1) or (4) or a requirement of this Act in relation to the
production of the register, that other person is liable to the same penalties
as if the person were an officer of the company who was in default, and the
power of the Court under section 1303 extends to the making of orders against
that other person and the person's officers and employees.
