CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 226

Validity of acts of directors and secretaries
226. (1) The acts of a director or secretary of a company are valid
notwithstanding any defect that may afterwards be discovered in his or her
appointment or qualification.

(2) Where a person whose office as director of a company is vacated pursuant
to subsection 224 (1) or was vacated pursuant to a corresponding law purports
to do an act as a director of the company, that act is as valid, in relation
to a person dealing with the company in good faith and for value and without
actual knowledge of the matter because of which the office of the
first-mentioned person was vacated, as if that office had not been vacated.
