CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 251
Power of Court to order meeting
251. (1) If for any reason it is impracticable to convene a meeting in any
manner in which meetings may be convened or to conduct the meeting in the
manner prescribed by the articles or this Act, the Court may, either of its
own motion or on the application of any director or of any member who would be
entitled to vote at the meeting, order a meeting to be convened, held and
conducted in such manner as the Court thinks fit, and may give such ancillary
or consequential directions as it thinks expedient, including a direction that
1 member present in person or by proxy shall be deemed to constitute a
meeting.
(2) Any meeting convened, held and conducted in accordance with any order made
pursuant to this section shall, for all purposes, be deemed to be a meeting
duly convened, held and conducted.
(3) For the purposes of an application to the Court or of a meeting held by
order of the Court under this section, the personal representative of a dead
member of a company shall be deemed to be a member of the company and,
notwithstanding anything to the contrary in this Act or the memorandum or
articles of the company, to have the same voting rights as the dead member had
immediately before his or her death by reason of his or her holding shares
that on his or her death were transmitted to his or her personal
representative by operation of law.
