CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 491

Circumstances in which company may be wound up voluntarily

491. (1) Subject to section 490, a company may be wound up voluntarily if the
company so resolves by special resolution.

(2) A company shall:

   (a)  within 7 days after the passing of a resolution for voluntary winding
        up, lodge a printed copy of the resolution; and

   (b)  within 21 days after the passing of the resolution, cause notice of
        the resolution to be published in the Gazette.
