654. (1) An offeror may not vary a takeover offer except:

   (a)  in accordance with this Division;

   (b)  in accordance with the regulations; or

   (c)  with the written consent of the Commission and in accordance with any
        conditions specified by the Commission in the consent.

(2) Where an offeror varies an offer under a takeover scheme as mentioned in
paragraph (1) (a), the offeror shall, at the same time, make a corresponding
variation to each other offer (other than an offer that has been accepted
before the variation is made) under the takeover scheme.
