3.1 After Schedule 9A, insert:
                         "SCHEDULE 9B              Regulation 1.17

MODIFICATION OF THE SECURITIES INDUSTRY ACT 1980 1. Section 36B: 1.1 Add at
the end of the section:
'(4) Subsection (1) does not prevent the Exchange from transferring its place
of incorporation in accordance with section 147 of the Corporations Law.' ".
