Divisions 1 and 3 of Part 7.3, Parts 7.5, 7.6 and 7.7 and section 842 of the Act do not have effect in relation to:

(a)

the acquisition or disposal of, or an agreement to acquire or dispose of, securities or documents of title to securities; or

(b)

a mortgage or charge in respect of securities or documents of title to securities;

done or entered into:

(c)

by a person whose ordinary business includes the lending of money; and

(d)

by way of security, principally for the purposes of a transaction entered into in the ordinary course of business in lending money or providing credit.
