Conflicts of interest
60S Conflicts of interest
(1) If the chief executive officer has an interest that conflicts, or may
conflict, with the discharge of the officer’s responsibilities, the
officer— (a) must disclose the nature of the interest and conflict to the
board as soon as practicable after the relevant facts come to the officer’s
knowledge; and
(b) must not take action or further action concerning a matter
that is, or may be, affected by the conflict unless authorised by the board.
(2) The board may direct the chief executive officer to resolve a conflict or
possible conflict between an interest of the officer and the officer’s
duties.
