(1)  Neither a Corporation nor any of its subsidiaries may, without the prior approval of the members of that Corporation, acquire or dispose of any assets or investments, including shares in a company, other than in the ordinary course of the business of the Corporation or the subsidiary, as the case may be.

(2)  Neither a Corporation nor any of its subsidiaries may acquire or dispose of any assets or liabilities in contravention of any requirements of the regulations.
