              EXPLANATORY MEMORANDUM


                              Clause Notes

                     PART 1--PRELIMINARY
Clause 1   sets out the purpose of the Bill, which is to revoke the permanent
           reservation over land in Carlton that was previously occupied in
           part by the former Royal Women's Hospital ("RWH") and part of
           which is currently occupied by the Royal Dental Hospital
           ("RDH").

Clause 2   provides for the commencement of the Act on proclamation with
           a forced commencement of 31 December 2012.

           PART 2--REVOCATION OF RESERVATION
Clause 3   revokes the permanent reservation and related Crown grant
           (Volume 1849 Folio 722) to the extent that it applies to Crown
           Allotment 2008 at Carlton in the Parish of Jika Jika, County of
           Bourke ("Crown Allotment 2008"). Crown Allotment 2008 is
           land that forms part of the former RWH site and is held in trust
           by the RWH. The details of the reservation are set out in item 1
           of the Schedule.

Clause 4   revokes the same permanent reservation discussed in clause 3 as
           it relates to Crown Allotment 2007 at Carlton in the Parish of
           Jika Jika, County of Bourke ("Crown Allotment 2007"). Crown
           Allotment 2007 relates to land that forms part of the RDH site.
           The details of the reservation are set out in item 2 of the
           Schedule.

Clause 5 sets out the consequences of the revocation directed in clauses 3 and 4, which are to return the land to its original status as unalienated Crown land and revoke any regulations and the appointment of any committee of management in respect of the land. In relation to Crown Allotment 2008, the RWH has consented to the discharge of its interest as trustee of the affected land. In relation to Crown Allotment 2007, the only interest potentially affected by this clause of the Bill is a lease held by Dental Health Services Victoria. Clause 6 preserves the continuing existence and operation of an existing 99 year lease under section 137AA(4) of the Land Act 1958 entered into between the Minister for Planning and Dental Health Services Victoria (ABN 55264981997). The lease relates in part to the land in Crown Allotment 2007. Clause 6 is necessary to ensure that the lease is not extinguished by clause 5. Clause 7 requires the Registrar of Titles to make any recordings in or amendments to the Register kept under the Transfer of Land Act 1958 necessary to give operation to Part 2 of the Bill. SCHEDULE The Schedule contains the description of the Order in Council that created the permanent reservation being revoked under clauses 3 and 4. 2
