In this Division
—
dissenting shareholder , in relation to a scheme
or contract, means a shareholder who has not assented to the scheme or
contract or who has failed to transfer the shareholder’s shares under
the scheme or contract;
excluded shares , in relation to a scheme or
contract involving a transfer to a person of shares in a class of shares in a
co-operative, means shares in the class that, when the offer relating to the
scheme or contract is made, are held by —
(a) in
any case, the person or a nominee of the person; or
(b) if
the person is a corporation, a subsidiary of the body.
