Western Australian Current Acts Western Australian Current Acts (1) A limited partner
in a limited partnership must not take part in the management of the business
of the partnership.
(2) A limited partner
in a limited partnership cannot bind the partnership.
(3) If a limited
partner takes part in the management of the business of the partnership, the
limited partner is liable, as if the partner were a general partner, for the
liabilities of the partnership incurred while the limited partner takes part
in the management of that business.
(4) The application of
this section cannot be varied in relation to a limited partnership by a
partnership agreement or with the consent of the partners in the limited
partnership.
