(1) No act or
proceeding of the Council or of any person acting pursuant to a direction of
the Council shall be invalidated or prejudiced by reason only of the fact that
at the time the act or proceeding was done, taken or commenced there was a
vacancy or vacancies in the office or offices of any councillor.
(2) All acts and
proceedings of the Council shall, notwithstanding the subsequent discovery of
any defect in the appointment or election of any councillor, or that any
councillor was disqualified from acting as or incapable of being a councillor,
be as valid as if that councillor had been duly appointed or elected, or was
qualified to act as or capable of being, and had acted as, a councillor and as
if the Council had been duly and fully constituted.
(3) No action, claim
or demand lies, or shall be commenced or allowed, by or in favour of any
person against the Council or councillors in respect of any act, matter or
thing done by the Council or any councillor in good faith in the exercise or
purported exercise of any powers or functions under this Act or for the
purpose of giving effect to the provisions or objects of this Act.
