2000 A BILL FOR An Act to abolish the Queensland Fisheries Management Authority, to enable the conversion of the Timber Research and Development Advisory Council into a non-statutory body, to repeal the Primary Industries Corporation Act 1992, and for other purposes
s1 6 s4 Primary Industries and Natural Resources Legislation Amendment The Parliament of Queensland enacts-- 1 ART 1--PRELIMINARY 2 P title 3 Short Clause 1. This Act may be cited as the Primary Industries and Natural 4 Resources Legislation Amendment Act 2000. 5 6 Commencement Clause 2.(1) Part 2 and section 13 commence on 30 June 2000. 7 (2) The following sections commence on a date to be fixed by 8 proclamation-- 9 (a) section 7; 10 (b) section 8, to the extent it inserts part 9, division 3 in the Forestry 11 Act 1959. 12 PART 2--AMENDMENT OF FISHERIES ACT 1994 13 amended in pt 2 and sch 2 14 Act Clause 3.(1) This part amends the Fisheries Act 1994. 15 (2) Schedule 2 also includes amendments of the Fisheries Act 1994. 16 of pt 4, div 1 (Establishment of Authority) 17 Omission Clause 4. Part 4, division 1-- 18 omit. 19
s5 7 s5 Primary Industries and Natural Resources Legislation Amendment of s 227 (Other references) 1 Replacement Clause 5. Section 227-- 2 omit, insert-- 3 `Division 2--Savings and transitional provisions for Primary Industries 4 and Natural Resources Legislation Amendment Act 2000 5 for div 2 6 `Definitions `227. In this division-- 7 "amending Act" means the Primary Industries and Natural Resources 8 Legislation Amendment Act 2000. 9 "Authority" means the Queensland Fisheries Management Authority in 10 existence immediately before the commencement. 11 "commencement" means the commencement of section 5 of the amending 12 Act. 13 "contract employee" means a person who, immediately before the 14 commencement, was employed by the Authority under a written 15 contract, whether or not for a fixed term. 16 of Authority 17 `Dissolution `228. On the commencement, the Authority is dissolved and its 18 members go out of office. 19 of assets, rights and liabilities 20 `Vesting `229. On the commencement-- 21 (a) the assets, rights and liabilities of the Authority vest in the State; 22 and 23 (b) the State is substituted for the Authority in all contracts to which 24 the Authority is a party. 25

A decision or recommendation made, licence, notice or other 2 document made or given, or other action taken, before the commencement, 3 by the Authority is taken to have been made, given or taken by the chief 4 executive. 5 proceedings 6 `Legal `231. A legal proceeding that could have been started or continued by or 7 against the Authority before the commencement may be started or 8 continued by or against the State. 9 to Authority 10 `References `232. A reference in an Act or document in existence immediately before 11 the commencement to the Authority is-- 12 (a) if the reference is to the ownership or vesting of property in the 13 Authority--a reference to the State; and 14 (b) otherwise--a reference to the chief executive. 15 to register transfer of property 16 `Duty `233.(1) The registrar of titles and all persons who keep registers of 17 dealings in property must, if asked by the State, make in the register all 18 entries necessary to record the vesting of stated properties in the State by 19 this division. 20 `(2) The request is not liable to fees. 21 of the Authority 22 `Employees `234.(1) On the commencement, a person who, immediately before the 23 commencement, was an employee of the Authority-- 24 (a) becomes a public service employee; and 25 (b) has a right to a salary or wage rate not lower than the person's 26 salary or wage rate immediately before the commencement. 27
s5 9 s5 Primary Industries and Natural Resources Legislation Amendment `(2) For subsection (1)(a)-- 1 (a) a person who, immediately before the commencement was a 2 permanent employee of the Authority is taken to be a public 3 service officer; and 4 (b) a person who, immediately before the commencement was a 5 temporary employee of the Authority is taken to be a temporary 6 employee; and 7 (c) a person who, immediately before the commencement was a 8 casual employee of the Authority is taken to be a temporary 9 employee on a casual basis. 10 `(3) This section does not apply to a contract employee. 11 employees 12 `Contract `235.(1) On the commencement, a contract employee becomes a public 13 service officer. 14 `(2) Despite anything in the Public Service Act 1996-- 15 (a) the person continues to be engaged and employed in the 16 department under the terms of the person's contract with the 17 Authority; and 18 (b) to remove doubt, it is declared that, if the person's employment 19 under the contract is terminated under the terms of the contract, 20 the termination does not affect any rights to compensation to 21 which the person is entitled under the terms of the contract. 22 `(3) Subject to subsection (2), the person's contract with the Authority is 23 taken to be a contract under the Public Service Act 1996, and that Act applies 24 to the contract as if it were a contract for a fixed term under that Act. 25 `(4) The Public Service Act 1996, section 71,1 does not apply to the 26 person. 27 1 Public Service Act 1996, section 71 (Tenure on termination etc. of certain contracts)
s6 10 s6 Primary Industries and Natural Resources Legislation Amendment `(5) A reference in the contract to the Authority as the employer under the 1 contract is taken to be a reference to the chief executive. 2 entitlements 3 `Accrued `236. A person who becomes a public service employee under this 4 division keeps all entitlements to recreation, sick, long service and other 5 leave, superannuation and other benefits accrued by the person, immediately 6 before the commencement, as an employee of the Authority. 7 instruments 8 `Industrial `237. Industrial instruments under the Industrial Relations Act 1999 in 9 force immediately before the commencement, and applying to an employee 10 of the Authority, continue in force under that Act after the commencement 11 and apply to the person as a public service employee. 12 of management plan 13 `Amendment `238. Sections 33 and 39(1) do not apply to an amendment of a 14 management plan that is merely consequential on the enactment of the 15 Primary Industries and Natural Resources Legislation Amendment 16 Act 2000, part 2.'. 17 ART 3--AMENDMENT OF FORESTRY ACT 1959 18 P amended in pt 3 and sch 1 19 Act Clause 6.(1) This part amends the Forestry Act 1959. 20 (2) Schedule 1 also includes amendments of the Forestry Act 1959. 21

After section 103-- 6 insert-- 7 ART 9--SAVINGS AND TRANSITIONAL 8 `P PROVISIONS FOR PRIMARY INDUSTRIES AND 9 NATURAL RESOURCES LEGISLATION 10 AMENDMENT ACT 2000 11 `Division 1--Preliminary 12 urposes of pt 9 13 `P `104. The purposes of this part are-- 14 (a) to transfer the assets and liabilities of the council to a body 15 corporate appointed by the council (its "replacement 16 corporation") that is not a public authority; and 17 (b) to dissolve the council. 18 for pt 9 19 `Definitions `105. In this part-- 20 ` "authorised person", for the council's replacement corporation, means 21 its secretary or someone else with the written authority of its board of 22 directors. 23 "company limited by guarantee" means a company limited by guarantee 24
s8 12 s8 Primary Industries and Natural Resources Legislation Amendment under the Corporations Law, section 9.2 1 "constitution", of a replacement corporation that is a company limited by 2 guarantee, means its constitution, or proposed constitution, under the 3 Corporations Law. 4 "council" means the Timber Research and Development Advisory Council 5 established under this Act. 6 "eligible participant" means a person who, immediately before the 7 transfer day, held a permit under section 56 that was issued subject to 8 section 22S.3 9 "replacement corporation" see section 104(a). 10 "transfer day" means the day the Primary Industries and Natural 11 Resources Legislation Amendment Act 2000, section 7, commences. 12 2--Appointment of replacement corporation 13 `Division must appoint its replacement corporation 14 `Council `106.(1) The council must appoint its replacement corporation. 15 `(2) It is the intention of Parliament that, unless this part otherwise 16 provides-- 17 (a) the following issues about the council's replacement corporation 18 are to be resolved when making the appointment-- 19 (i) its constitution; 20 2 Corporations Law, section 9-- "company limited by guarantee" means a company formed on the principle of having the liability of its members limited to the respective amounts that the members undertake to contribute to the property of the company if it is wound up. Corporations Law, section 124(1) (Legal capacity and powers of a company) provides that: `A company limited by guarantee does not have the power to issue shares.'. 3 Section 56 (Permits etc.) Section 22S (Additional stumpage)
s8 13 s8 Primary Industries and Natural Resources Legislation Amendment (ii) its membership and the conditions for becoming a member; 1 (iii) the obligations, restrictions and rights imposed on its 2 members; 3 (iv) its officers; and 4 (b) laws concerning the incorporation of, and laws that apply to, the 5 replacement corporation continue to apply. 6 for appointment 7 `Conditions `107. A replacement corporation may be appointed for the council only 8 if-- 9 (a) the replacement corporation has, by a notice to the council signed 10 by an authorised person for the corporation, agreed to the 11 appointment; and 12 (b) the replacement corporation's constitution allows the transfer of 13 all the assets and liabilities of the council to the corporation; and 14 (c) the replacement corporation is a company limited by guarantee. 15 of appointment 16 `Notice `108.(1) As soon as practicable after the council has appointed its 17 replacement corporation, it must give the Minister notice of the 18 appointment. 19 `(2) The notice must state the following-- 20 (a) the replacement corporation's name; 21 (b) the day the appointment was made; 22 (c) that the replacement corporation's constitution allows the transfer 23 of all the assets and liabilities of the council to the replacement 24 corporation; 25 (d) that the replacement corporation is a company limited by 26 guarantee. 27 `(3) The notice must also state that the council is satisfied that, on the 28 transfer of the council's assets and liabilities to the replacement 29
s8 14 s8 Primary Industries and Natural Resources Legislation Amendment corporation-- 1 (a) the objects of the replacement corporation will include-- 2 (i) the promotion, merchandising and market development of 3 timber and timber products; and 4 (ii) the conduct of research into timber and timber products; and 5 (iii) the provision of advice regarding timber processing and use; 6 and 7 (iv) the conduct of research into product development and 8 processing costs in the timber processing industry; and 9 (v) education and training in relation to timber processing and 10 use; and 11 (b) having regard to the requirements and purposes of the transfer, 12 the following will be appropriate-- 13 (i) the corporation's constitution; 14 (ii) the conditions under which each eligible participant may 15 become a member of the corporation; 16 (iii) the obligations, restrictions and rights that will attach to 17 members of the corporation; 18 (iv) the corporation's officers; and 19 (c) each eligible participant will be given an opportunity to become a 20 member. 21 `(4) The notice must be accompanied by a copy of the notice mentioned 22 in section 107(a). 23 3--Transfer to replacement corporation 24 `Division of div 3 25 `Application `109. This division applies on the transfer day. 26
s8 15 s8 Primary Industries and Natural Resources Legislation Amendment of council's assets and liabilities 1 `Transfer `110. The council's assets and liabilities are transferred to its replacement 2 corporation and become assets and liabilities of the corporation. 3 of transferred assets 4 `Registration `111.(1) A certificate signed by an authorised person for the council's 5 replacement corporation is evidence of an asset having become an asset of 6 the corporation on the transfer day if the certificate-- 7 (a) identifies the asset; and 8 (b) states the asset was, immediately before the transfer day, an asset 9 of the council; and 10 (c) states that, under this division, the asset became an asset of the 11 replacement corporation on the transfer day. 12 `(2) If the certificate is given to an entity with registration functions for 13 assets of that kind under a law of the State, the entity must do the following 14 as if the certificate were an appropriate instrument of transfer of the asset-- 15 (a) register the matter in the same way as transactions for assets of 16 that kind; 17 (b) deal with, and give effect to, the certificate. 18 19 Examples of `entity with registration functions'-- 20 · ASIC 21 · the registrar of titles. `(3) Subsection (2) applies despite the Corporations Law, section 268 or 22 the Corporations Law, chapter 7, part 7.13.4 23 `(4) A transfer of an asset to the replacement corporation may be 24 registered or given effect to under the law of another State if-- 25 (a) the certificate is given to an entity with registration functions for 26 4 Corporations Law, section 268 (Assignment and variation of charges) or chapter 7, part 7.13 (Title to, and transfer of, securities)
s8 16 s8 Primary Industries and Natural Resources Legislation Amendment assets of that kind under the other State's law; and 1 (b) the entity is permitted by law to do so. 2 to council 3 `References `112. A reference to the council in an Act or document existing before its 4 dissolution, from its dissolution has effect as if it were a reference to the 5 council's replacement corporation, if the context permits. 6 of proceedings 7 `Continuity `113.(1) A proceeding, other than a proceeding that has ended, by or 8 against the council may be continued or finished by or against its 9 replacement corporation. 10 `(2) If a proceeding could have been taken by or against the council if it 11 had continued to exist, the proceeding may be taken by or against its 12 replacement corporation. 13 14 `Employees `114.(1) A person employed by the council immediately before the 15 transfer day becomes an employee of the council's replacement corporation. 16 `(2) Subsection (1) does not-- 17 (a) constitute a redundancy or retrenchment of the person's 18 employment by the council; or 19 (b) entitle the person to a benefit or payment merely because the 20 person is no longer employed by the council; or 21 (c) interrupt the person's continuity of service. 22 `(3) For the Industrial Relations Act, the person's period of employment 23 with the council is taken to be an equivalent period of employment with the 24 replacement corporation. 25 `(4) Subject to the Industrial Relations Act, the person has the same 26 employment rights against the replacement corporation that the person had 27 against the council immediately before the transfer day. 28
s8 17 s8 Primary Industries and Natural Resources Legislation Amendment `(5) If an industrial instrument under the Industrial Relations Act bound 1 the person and the council immediately before the transfer day, it binds the 2 person and the replacement corporation. 3 `(6) In this section-- 4 "employment rights" includes existing and accruing rights to-- 5 (a) remuneration; and 6 (b) recreation, long service, sick or other leave; and 7 (c) superannuation or other benefits and entitlements. 8 "Industrial Relations Act" means the Industrial Relations Act 1999. 9 directions to give effect to transfer 10 `Minister's `115.(1) The Minister may give the council a written direction to give 11 effect to the transfer of the council's assets and liabilities to its replacement 12 corporation. 13 (2) After the direction has been given it must be-- 14 (a) gazetted as soon as practicable; and 15 (b) tabled in the Legislative Assembly within 14 sitting days. 16 of council 17 `Dissolution `116.(1) On the transfer day, the council is dissolved and the persons 18 who were members of the council go out of office. 19 `(2) No compensation is payable to a person because of subsection (1).'. 20
