CORPORATIONS ACT 1989 No. 109 of 1989 - SECT 258
Minutes of proceedings
258. (1) A company shall:
(a) cause minutes of all proceedings of general meetings and of meetings
of its directors to be entered, within 1 month after the relevant
meeting is held, in books kept for that purpose; and
(b) except in the case of documents that are deemed to constitute minutes
by virtue of section 255, cause those minutes to be signed by the
chairman of the meeting at which the proceedings took place or by the
chairman of the next succeeding meeting.
(2) Any minute that is so entered and, in a case to which paragraph (1) (b)
applies, purports to be signed as provided by that paragraph is prima facie
evidence of the proceedings to which it relates.
(3) Where minutes have been so entered and, in a case to which paragraph (1)
(b) applies, signed, then, unless the contrary is proved:
(a) the meeting shall be deemed to have been duly held and convened;
(b) all proceedings that are recorded in the minutes as having taken place
at the meeting shall be deemed to have duly taken place; and
(c) all appointments of officers or auditors that are recorded in the
minutes as having been made at the meeting shall be deemed to have
been validly made.
