Identification of limited partnerships and incorporated limited partnerships
75 Identification of limited partnerships and
incorporated limited partnerships
(1) In this section,
"document" includes any letter, notice, publication, written offer, contract,
order for goods or services, invoice, bill of exchange, promissory note,
cheque, negotiable instrument, endorsement, letter of credit, receipt and
statement of account.
(2) Any document issued on behalf of a limited partnership in connection with
the conduct of the partnership's business must contain in legible letters the
words "A Limited Partnership" (or "L.P." or "LP" as an abbreviation) at the
end of the firm-name of the partnership.
(2A) Any document issued on behalf of an incorporated limited partnership in
connection with the conduct of the partnership's business must contain in
legible letters the words "An Incorporated Limited Partnership" (or "L.P." or
"LP" as an abbreviation) at the end of the firm-name of the partnership.
(3)
A person who-- (a) issues or authorises the issue of a document in
contravention of this section, or
(b) being a general partner in the
limited partnership or incorporated limited partnership concerned--is aware
that documents are being issued in contravention of this section,
is guilty of
an offence. : Maximum penalty--20 penalty units.
(4) The certificate of
registration of a limited partnership or incorporated limited partnership must
be displayed at all times in a conspicuous position at the registered office
of the partnership.
(5) If the certificate of registration is not so
displayed, each general partner is guilty of an offence. : Maximum penalty--20
penalty units.
