(1) All decisions relating to the operation of a Corporation are to be made by or under the authority of the Board.(2) The Board of a Corporation may, by written notice, delegate to any person any of its functions or powers, other than this power of delegation.(3) The chief executive officer of a Corporation is, subject to subsection (1) , responsible for the day-to-day management of the operation of the Corporation in accordance with the general policies and specific directions of the Board.
